Rule 65. Injunctions

(c) Security.

No restraining order or preliminary injunction shall issue except upon the giving of security by the applicant, in such sum as the court deems proper, for the payment of such costs and damages as may be incurred or suffered by any party who is found to have been wrongfully enjoined or restrained. No such security shall be required of the United States or of an officer or agency thereof.

The provisions of Rule 65.1 apply to a surety upon a bond or undertaking under this rule.

【株式交換】

1. 【新株予約権】の定義

【新株予約権】とは、会社に対して、一定の期間、あらかじめ定めた一定の価額で新株の発行を請求することができる権利【改正商法280条の19】であり、その権利が行使されたときは、【会社】が、その権利者に対して、【新株を発行】し、又はこれに代えて【その有する自己株式を移転】する義務を負うものをいいます。

2. 【新株予約権】の特徴

【新株予約権】の特徴は、【新株予約権】を単独で発行することができること【改正商法280条の19】、及び、【新株予約権者】の権利行使に対して新株発行だけにとどまらず、代用自己株式として会社が保有する自己株式を移転することも含めた権利を予定しています。 
従来の商法 における ≪新株引受権≫ は、取締役または使用人に対して『ストック・オプション』として付与する場合や新株引受権付社債を発行する場合でなければ発行することができませんでした。【改正商法】は、このような枠組みを外し、ストック・オプションを付与する場合に限らず一般的に発行することを可能とし、また社債の発行を伴わず単独で発行することを可能としました。

企業が支払い不能か、債務超過の恐れがある時、当事者の企業や債権者または監督官庁などが裁判所に申し立て、裁判所の監督の下で企業を整理、再建させる手続き。裁判所が会社整理の開始命令を出し、選任した管理人が企業の財産管理を行う。再建の見込みがなければ、破産手続きに移行する。

労務供給契約には、雇用（労働）契約の他に請負契約と委任契約があります。ご質問の委任契約は一般に【業務委託契約（民法656条）】と呼ばれているもので、実態がそのようなものである限り、原則的に労基法などの労働者保護法の規制を受けず、社会・労働保険に加入させる必要もないことになります。（使用者負担分の保険料を免れます）。労働者保護法や社会・労働保険は被用者（労働者）に適用されれるからです。 
「使用者に好都合」とはそうしたことを意味しているのだと思われます。 
しかし、労働契約の該当性の判断は実態的に行われます。具体的には【業務委託】として契約を整えても、使用者の指揮命令下に労務を提供していると認められれば「労働契約」として取り扱われることになります。実際上。業務委託できるのは指揮命令を要しない自律的業務に限られます。
