Source text - Spanish Fases del proceso de búsqueda de un inversor
1. Elaboración del memorándum descriptivo de la compañía con el fin de presentar adecuadamente el proyecto a los inversores potenciales: Este documento contiene habitualmente la siguiente información:
Historia y accionistas.
Actividades: productos y servicios.
Clientes y mercado.
Distribución.
Proveedores.
Investigación y desarrollo.
Recursos humanos.
Instalaciones y activos inmobiliarios.
Plan de negocio.
Estructura de la transacción.
Proporcionará a los posibles inversores un elemento a partir del cual poder establecer una valoración inicial del interés de la compra, y posteriormente se convierte en el documento de trabajo en torno al cual se establecen las discusiones y negociaciones entre los accionistas actuales y los posibles inversores interesados.
Las funciones del banco durante esta primera fase son las siguientes:
a) Recabar información operativa y financiera de la compañía.
b) Elaborar un plan de negocio para los próximos años. Para ello se utilizarán los documentos similares que habitualmente son manejados por las empresas (presupuestos de ventas, etc.) estableciendo las peculiaridades que contiene un plan de negocio.
c) Elaborar un estudio de rangos de valoración. Esta fase no siempre se cubre, por lo que no la incluimos en este caso y sería objeto de un desarrollo posterior si la empresa lo requiere. Habitualmente se emplean diferentes metodologías de valoración para la elaboración de este documento, entre las que destacan:
– Descuento de flujos de caja.
– Transacciones comparables y compañías similares con cotización oficial en mercados organizados, con el correspondiente descuento.
2. Investigación de mercado
Se realizan todas las tareas de búsqueda que permiten elaborar una base de datos amplia con las empresas que pueden tener interés en estudiar la inversión propuesta. En esta fase se produce una amplia comunicación con la compañía para matizar el perfil de búsqueda.
El resultado de esta fase es una relación completa de candidatos en la que se proporcionan no solo los datos y persona de contacto para cada compañía, sino también cierta información relevante, tal como facturación, actividades, estructura del grupo, etc.
3. Contacto con posibles inversores
La fase de contacto con posibles inversores se inicia con la aprobación por parte del cliente de la lista de candidatos preparada. Esta relación es comentada con la compañía, que podría añadir nuevas empresas para contactar, y se decide uno o varios tipos de aproximación concretos, por cuestiones de mantenimiento de la confidencialidad en el proceso.
Con relación a los candidatos, se realizará el contacto habitualmente mediante una carta a la que se adjunta una descripción anónima del cliente. En algunas ocasiones –en las que el nivel de confidencialidad exigido así lo sugiera–, el primer contacto se realiza directamente mediante una primera reunión, con la correspondiente mayor dedicación de tiempo al proceso.
A partir de la carta de contacto inicial se realiza el seguimiento telefónico de las misivas enviadas, para determinar qué compañías de la lista están interesadas en recibir el memorándum descriptivo. En esta etapa el proceso se demora debido a la escasa disponibilidad de tiempo de las personas contactadas y al elevado esfuerzo de seguimiento que debe realizarse para entrevistarse directamente con ellas.
Con aquellas sociedades que estén interesadas se firma un estricto acuerdo de confidencialidad, que garantiza el buen uso por parte del receptor de la información que se facilita. Posteriormente, y con una nueva autorización por parte del cliente, se envía el memorándum descriptivo a estas compañías, personalizando en ocasiones el contenido del mismo.
Translation - English Phases in the search process for an investor
1. Preparation of the company’s descriptive memorandum in order to adequately present the project to potential investors: This document normally contains the following information:
History and shareholders.
Activities: products and services.
Clients and market.
Distribution.
Suppliers.
Research and development.
Human Resources.
Installations and real estate.
Business plan.
Structure of the agreement.
This will provide potential investors with a basis from which to establish an initial evaluation of the interest of the purchase, and will subsequently become the working document around which discussions and negotiations take place between current shareholders and potentially interested investors.
The bank’s functions during this first phase are as follows:
a) Gather operating and financial information on the company.
b) Draw up a business plan for the next few years. Similar documents typically utilised by companies (sales budgets etc) will be made use of for such purposes, establishing the special characteristics which are contained in a business plan.
c) Prepare a study on evaluation ranges. This phase is not always covered, as a result of which it is not included in this case and would be the object of later development if required so by the company. Different evaluation methodologies are normally used to produce this document, the most important being:
– Discount on cash flows.
– Comparable agreements and similar companies with an official price listing in organised markets, with the appropriate discount.
2. Market research
All search tasks required to produce an extensive database incorporating companies that may be interested in studying the proposed investment will be carried out. During this phase, there will be close communication with the company in order to accurately define the search profile.
The result of this phase is a full list of candidates in which not only the details and contact person for each company are provided, but also certain relevant information such as turnover, activities, group structure etc.
3. Contact with potential investors
The contact phase with potential investors begins with the client’s approval of the prepared list of candidates. This list is discussed with the company, which may add new companies to be contacted. One or more specific types of approaches will then be decided upon to safeguard confidentiality during the process.
With regard to the candidates, contact will usually be made by means of a letter with an anonymous description of the client attached to it. On occasions, when the level of confidentiality required would indicate so, first contact will be made directly through a first meeting, with the corresponding greater dedication of time to the process as a result of this.
After the initial contact letter, there will be a telephone follow-up of the missives sent out, in order to determine which companies on the list are interested in receiving the descriptive memorandum. At this stage the process is a little slow due to the lack of availability of the people contacted and the high level of follow-up effort required in order to interview them directly.
A strict confidentiality agreement will be signed with those companies interested which will guarantee the right use by the recipient of the information provided. Afterwards, and with new client authorisation, the descriptive memorandum will be sent to these companies, personalising on occasions its contents.

Mientras avanza paulatinamente nuestro proyecto chileno en la región de O’Higgins, no podemos eludir el compromiso de ofrecer al consumidor nuestra gama Gurpegui.
Gurpegui es la denominación que nació hace 3 años para amparar sólo aquellos vinos elaborados por el Grupo donde la mejor calidad se pague a su justo precio. El proyecto cuenta con dos niveles: Barón de Gurpegui para los criados en madera –que se consolida ya como nuestro principal representante chileno- y Gurpegui para vinos jóvenes. Con ésta presentamos ahora 3 especialidades, procedentes también del país andino: un tinto de carmenere, otro de cabernet sauvignon y un blanco de sauvignon blanc.
Para su lanzamiento hemos diseñado unas nuevas etiquetas donde se reproducen las obras ganadoras de nuestros III Premios de Pintura “Artistas de Nueva Cosecha”. De esta forma, a un tiempo que dotamos a cada vino de una identidad exclusiva, los convertimos en plataforma de reconocimiento de los artistas noveles seleccionados en la última edición. A partir de esta primera experiencia, los vinos jóvenes de la gama Gurpegui se erigirán con cada cosecha en embajadores de las obras de los autores seleccionados por el jurado.
BARÓN DE GURPEGUI RESERVA 2000, LA CONSAGRACIÓN
Barón de Gurpegui es un vino único. Un reserva chileno cuya personalidad ha venido determinada, desde el principio, por el respeto a su origen y al temperamento de sus varietales, pero con carácter y espíritu riojano, algo que difícilmente le hace comparable con cualquier otro.
Con un historial de tan sólo 2 añadas –1997 y 1998-, la excelente respuesta de los consumidores nos ha llevado a avanzar un paso más en este apasionante reto, a la búsqueda de los mayores niveles de excelencia posibles. En el año 2000, con Jacques Humeau al frente de nuestro departamento técnico, recorrimos de nuevo la geografía de este país andino hasta encontrar en el Valle de Colchagua, perteneciente a la VI Región, las condiciones requeridas para el nuevo Barón de Gurpegui reserva 2000. Procede de nuestras 23 hectáreas de viñedos chilenos -exclusivas para este vino- de Cabernet Sauvignon, Shiraz, Carmenere y Merlot. La crianza en barricas se ha realizado de forma individual, utilizando un único roble -Allier, Nevers, Tronçais y Apalache- para cada varietal. La proporción del coupage y la elección del roble más indicado para cada uva son el resultado de muchos y minuciosos ensayos en nuestro departamento de I+D.
INTERVIN 2004, EL SALÓN INTERNACIONAL DEL VINO
El próximo 8 de marzo se inaugura una nueva edición de Alimentaria, y con ella el Salón Internacional del Vino Intervin.
Para esta ocasión inauguramos el nuevo recinto ferial Gran Vía. En nuestro stand podrá encontrar unificados, de una parte, la oferta de vinos españoles que nuestro Grupo elabora en Rioja, Navarra, Extremadura y Castilla, así como los vinos chilenos Gurpegui y Barón de Gurpegui. De otra, presentaremos las más de 100 marcas internacionales que seleccionamos para el mercado español a través de Gurpegui Imports, la 1ª importadora española de vinos del mundo.

Translation - English CHILE AT THE FOOT OF THE SPANISH MARKET
While our Chilean Project makes steady progress in the O’Higgins region, we cannot forget our commitment to offering the consumer our Gurpegui range.
Gurpegui is the appellation of origin which first appeared 3 years ago to cover those wines produced by the Group where the best quality is paid for at the right price. The project has two levels: Barón de Gurpegui for wines aged in wood (already consolidated as our main Chilean representative) and Gurpegui for young wines. With this appellation of origin we are now presenting 3 other specialities, also from this Andean country: a carmenere red, a cabernet sauvignon red and a sauvignon blanc.
We have designed some new labels for their launch which reproduce the winning works from our III Art Awards “Artistas de Nueva Cosecha”. Consequently, while we give each wine an exclusive identity, we also turn them into a platform of recognition for the new artists selected at the latest Awards. From here, the young wines of the Gurpegui range will be established at each harvest as representatives of the works of the artists chosen by the jury.
BARÓN DE GURPEGUI RESERVA 2000, THE CONSECRATION
Barón de Gurpegui is a unique wine, a Chilean reserva whose personality has long been determined by its origins and the nature of its varietals, but with the character and spirit of a rioja, making it very difficult to compare with any other wine.
With a record of just two vintage years (1997 and 1998), the outstanding consumer response to this wine has prompted us to take a step further forwards in this enthralling challenge to try and attain the highest levels of excellence possible. In 2000, with Jacques Humeau heading our technical department, we once again travelled the length and breadth of this Andean country until we found, in the Colchagua Valley in the VI region, the right conditions for the new Barón de Gurpegui reserva 2000. It comes from 23 hectares of Chilean vineyards (exclusively for this wine) of Cabernet Sauvignon, Shiraz, Carmenere and Merlot grapes. The aging in barrels is carried out individually, using just one oak (Allier, Nevers, Tronçais or Apalache) for each varietal. The proportion of the coupage and choice of the most suitable oak for each type of grape are the result of extensive, thorough testing carried out in our R&D department.

This coming 8th March sees the beginning of the latest Alimentaria (International Food and Drink Fair) and with it the InterVin International Wine Show.
For the occasion we are opening the new Gran Vía exhibition site.
