I am aware of the meaning of the term on its own, but I am not sure exactly how it fits in, links with and structures the rest of the text (i.e. phrasing has confused me here).

The accounting of a company can either be controlled/audited by an internal board of statutory auditors or by an external auditing firm. So the sentence is saying that if the shareholders' meeting doesn't appoint the board of statutory auditors to do so, then it will be done by an external auditor/auditing firm.
