it means:
The shareholders shall tender their shares to ABC Company for sale at a specified price during a specified time

出售 is ok. But 转让 emphasize the ownership transfer and usually is used as such.

Not sure about the context. As a verb typically used in M&A, "tender" means to accept the Offer and deposit the shares to the Depositary. The Offeror shall take up and pay for the shares tendered under the Offer.
Example sentence:

, each Locked-Up Shareholder agreed to tender to the Offer (as hereinafter defined) all of the Shares held by it, on the terms and subject to the conditions set forth in the Lock-Up Agreement.

If the Offeror does not take up and pay for the Shares tendered to the Offer, the Offeror shall reimburse the Company for all direct fees and expenses of the Company incurred in connection with the proposed Pre-Acquisition Reorganization, if any.
