di minimo effetto

Italian to English Law/Patents Law (general) costituzione di una società
Part of articles of association relating to partial payment of share capital. "Dopo che la Società sarà stata iscritta nel registro delle Imprese la presente ricevuta resterà **di minimo effetto** nei confronti di coloro che hanno effettuato il versamento alla Banca...."

This is from the 1950s and refers to art. 2329 of cc "Le somme depositate a norma del n. 2 del comma precedente non possono essere consegnate agli amministratori se non provano l'avvenuta iscrizione della società nel registro delle imprese. L'istituto di credito è responsabile nei confronti della società e dei terzi per l'inosservanza del presente divieto." Can it merely be translated "as a receipt" or "minimum receipt" or is there a set phrase? Much obliged for any enlightenment:)

I'm not sure at all, but at first sight it looks like the receipt loses effect after registration of the company (and is presumably replaced by something else).

Thanks Thomas (I often see you on this site). After much mulling over I conclude that those persons who already paid in will be those who are at least affected by the receipt rather than those who did not pay.

Thanks Grace. I think it means that at least only those who paid in will have a receipt in hand as opposed to those who didn't pay in and will therefore have no receipt or claim for recovery of deposit. My deadline has passed in any case and this enigma may have been solved. All this mulling over and your contributions do lead to more understanding of how to phrase it - so thanks again to you and the others. :)
