"In addition, as soon as reasonably practicable after the date of the acquisition by the Company [...] of XXX is completed (the “Closing Date”) (and, in any case, no later than 60 days after the Closing Date), provided that the **whitewash** with respect thereto is completed as soon as reasonably practicable after the Closing Date and in any event no later than 60 days after such date, each member of the Target Group that is a material subsidiary shall become a Guarantor under the Revolving Credit Facility."
