(c) If the undisputed amount of Capacity Payments for any Billing Period is less than the sum of the Debt Service Amounts for that Billing Period, then the absolute value of the difference between the undisputed amount of Capacity Payments and the sum of the Debt Service Amounts, at Purchaser’s option, shall be (i) deducted as a credit from the disputed amount of Capacity Payments and an equivalent portion of the Debt Service Amounts shall be deemed to have been paid under protest or (ii) paid into the Escrow Account. If Purchaser opts to proceed under paragraph (i) above and any portion of the disputed amount of Capacity Payments subsequently is determined in accordance with (x) a decision of the Third-Party Expert that becomes final and binding on the Parties in accordance with Section 25.3 (Technical Disputes) or an award of the arbitral tribunal rendered in accordance with Section 25.4 (Arbitration) or (y) a written agreement between Purchaser and Contractor to have not been payable by Purchaser, then an amount equivalent to that portion of the disputed amount of Capacity Payments, plus interest at the rate otherwise payable on disputed amounts under the Escrow Agreement, shall be payable by Contractor as provided in Section 11.1(a) (Billing).
