So, jetzt gibt es Content ;-) The Board shall supervise and advise the Management, and grant consent to actions of the Management that require the consent of the Board as set forth in the Rules of Procedure, Articles of Association and/or this Agreement.
Certain Resolutions of the Board as set forth in the Rules of Procedure may require the consenting vote of a specific Board Member or specific Board Members.
For the avoidance of doubt the Parties clarify that the Board has no authority to give imposing instructions (kein positiv gebietendes Weisungsrecht) to the Management.
The Board shall consist of up to five (5) voting members (“Board Member(s)”) to be elected by the Shareholders' Meeting upon nomination or delegated (entsandt by writ- ten declaration to the Company as follows:
two (2) Board Members shall be delegated (entsandt) jointly by the Founding Shareholders (each and together “Founder Board Member(s)”);
one (1) Board Member shall be delegated (entsandt) by xy (“Investor Board Member I”);
one (1) Board Member shall be delegated (entsandt) by abc (“Investor Board Member II”; Investor Board Member I and Investor Board Member II each and collectively the (“Investor Board Member(s)”); and
