Discussion

Daryo Dec 24, 2021:
Agree that a "be" is missing, it should be:
Buyer shall not be required to disclose ...

and that the "privilege" in this text is NOT about "client-attorney privilege" but it's the kind of "privilege" as Germaine has defined it - the right for Buyer to treat some information they hold as "privileged information".

what

"such communication to be disclosed to the Seller's Solicitors on an external counsel only basis"

effectively means is that Buyer has no obligation to pass any privileged information to Seller, BUT such privileged information will be passed to Seller's counsels who will be acting as "external counsel" of Buyer as far that privileged information is concerned i.e. whatever Buyer's privileged information is passed to Seller's counsels it will stay with them - it will NOT be further passed to Seller.
François Tardif Dec 23, 2021:
Buyer shall not BE required Il me semble qu'il manque un "be" à la phrase.
privilege against disclosure
SYNONYME: privilege of non-disclosure (6207)

(contexte) A person who under this Code has a privilege against disclosure of a matter may refuse to disclose or prevent any other person from disclosing the matter.

(contexte) At common law a person has a privilege against disclosure of confidential communications between him and his lawyer in the course of a professional relationship.

Peer comment(s):

agree Daryo : yes, but the part "entre les conseils respectifs des parties" is your own addition - there is no mention whatsoever of any "Buyer's counsel(s)" in this ST
