"Allocation Partner" means VR Advisory Partners, L.P., a Cayman Islands exempted
limited partnership, which is an Affiliate of the General Partner, any other Affiliate of the
General Partner, or any of the General Partner's or its Affiliates' employees in their capacity as a
Partner of the Partnership designated as an "Allocation Partner" by the General Partner. Any
Allocation Partner shall be a Special Limited Partner for purposes of being allocated the
Perfonrtance Allocation.
Performance Allocation is debited against each Capital Sub-Account of each
Limited Partner as of the last day of each Performance Period with respect to such
Capital Sub-Account, and the amount so debited is simultaneously credited to the
Capital Accounts of the Allocation Partners in such amounts as determined by the
General Partner.
