"The Initial Consideration will be allocated between the Shares and the Shareholders Loans as agreed between the parties in the most tax efficient manner, and will be subject to a net debt and working capital adjustment by reference to completion accounts ("Completion Accounts") to be prepared in the usual way following, and as at the date of, Completion."
