1. Provider grants to the Company a non-exclusive, right (but not the obligation) and licence to: copy, host, crawl, cache, route, transmit, store, reproduce, ingest, digitize, encode; modify (solely as may be necessary for the purposes of this Agreement); adapt and translate into machine-readable form, reformat, and create excerpts of; communicate and make available to the public; create algorithms based on; and otherwise use Provider Content.
2. Provider grants to the Company the right to sub-license the licences granted to it in this clause 2.1 to the Company-authorised third parties for the purpose of ingesting, digitizing and/or encoding Provider Content and applying encrypted streaming technology in connection with the performance of this Agreement.
3. Subject to clause 7.1, the Company will not have any obligations or liability under this Agreement (whether in contract, tort or otherwise) in relation to any Provider Content, or other content, technology, information, materials or data provided or made available to the Company or any Company-authorised third party (including for avoidance of doubt ingestion partners) or any Company Affiliate by Provider, Approved Users, or any other third party; or any search results, ads or third party web sites, or content to which such search results or ads may link.
4. Unless otherwise agreed between the parties in writing, Provider will ingest and make available to the Company (either directly or through a third party ingestion partner which has been approved by the Company and is integrated with Company’s systems), the Programs (and all associated materials and metadata) no less than 30 days before the agreed date upon which the Program is to be made available on the Company Services in accordance with paragraphs 2 and 3 below.
5. Programs (and all associated artwork, synopses, metadata (as detailed in Exhibit A, as may be amended from time to time by the Company), trailers, clips, extracts, photographs, EPKs, Extras, caption files and subtitle files ) shall be ingested and delivered to the Company by Provider (at Provider’s sole cost and expense, either directly or through a third party ingestion partner which has been approved by the Company and is integrated with Company’s systems) in a Company-approved format and by Company-approved means of delivery.
