Non solo perché è tipico delle operazioni di private equity operare 'a debito', ma soprattutto perché - anche volendo riconoscere al verificatore fiscale la titolarità del diritto di indicare la struttura più appropriata per un'acquisizione societaria - la circostanza andrebbe semmai contestata all'azionista investitore e non certo alla società acquistata.
Not only because it is typical of private equity transactions to operate ‘a debito’, but mostly because even if we were to agree that the tax inspector had the right to specify which was the most appropriate company for corporation acquisition... the circumstance would be disputed, if anything, with the shareholder investor and certainly not with the company acquired.
My take - but I suspect there is a stock phrase for 'a debito" in this particular case. Could it be simply 'by borrowing'? Await your pearls.
