Good will money - money deposited on the escrow account in the amount of 500.000 Euro confirming PP's ability to gather the money needed to perform the Settlement Agreement, not falling under the scope of art. 394 of Polish Civil Code

All entities belonging to the RG represent and warrant that none of them or any other entity associated with them shall institute execution against the good will money during the term of this Settlement Agreement as well as for five working days afterwards or seek to block the release of such moneys from escrow following the termination of this Settlement Agreement as well as for five working days afterwards. In case of breach of the provision by any entity belonging to the RG, the PP will have the right to the contractual penalty of twice the amount of the good will money, with all members of the RG jointly and severally responsible for paying the contractual penalty.

Właściwie to zadatek, pomyliłem te dwa ze sobą (jest to prawie to samo, tyle że w razie niewykonania strona przyjmująca zadatek zwraca go w podwójnej wysokości, a zaliczkę w jednokrotnej wys.).

: "Kaucja gwarancji" to pleonazm - albo tłumaczymy "kaucja", albo "gwarancja" (przy czym "gwarancja" niezbyt pasuje, bo to słowo oznacza raczej samo zobowiązanie niż pieniężny depozyt gwarancyjny).
