I'm getting myself into a bit of a pickle unravelling the end of this sentence. Can anyone help please?

If I understand this right, X is acquiring surface rights to this Centro and undertakes to use it for.... , subject, as surface rights holder and in relation to the Administration, to all conditions, rights and obligations of the terms and conditions regulating the said surface rights to which it becomes subrogated.

So X is acquiring the surface rights from Y who in turn was presumably granted them by the Administration, which is the land-owner.

I think that is right, and hope it clarifies it for you.

Para con simply means 'to', 'towards', 'in relation to'.
