Facção, do francês “façon” (feitio, criação, invenção, aparência, maneira de fazer, amanho, mão-de-obra), também significa trabalho com a matéria-prima fornecida pelo cliente “à sa” (à sua maneira, a seu modo). “Façonier” é a pessoa que trabalha, opera com a matéria-prima fornecida pelo cliente.
Basicamente, pode-se definir o contrato de facção, conforme Lilia Leonor Abreu o faz,[43] como “o ajuste que tem por objeto a entrega de produtos acabados a serem elaborados no âmbito da empresa de facção e por seus empregados, que lá executam suas tarefas sem nenhum tipo de ingerência por parte da contratante.” Para Sandra Márcia Wanbier[44], o contrato de facção visa o “fornecimento de produtos confeccionados.” (...)

Toll manufacturer = Here the principal always retains title to the goods throughout the manufacturing process. The principal buys the raw materials or sub-assembled goods, although the physical flow of goods will be directly to the manufacturer himself. The principal bears all the inventory and selling risk. The toll manufacturer may have to buy small amounts of raw materials (E.g. the contract is to put zips in 10,000 dresses. The dresses are delivered to the toll manufacturer, but remain the property of the principal throughout. The zips are bought locally by the toll manufacturer).
