Concurrently with the payment of any distribution to holders of Common Shares or other payment to holders of Common Shares upon consummation of a Capital Event (including payments received from a third Person in connection with a merger or purchase of Common Shares), if the Cumulative IRR Threshold shall have theretofore been attained or would be attained concurrently with such distribution or other payment, and provided that the Advisor shall not have theretofore been granted the right to receive Common Shares under clause (i) above, XXX shall pay to the Advisor in cash an amount equal to the Incentive Amount determined as of the date of such distribution or other payment in accordance with Schedule 1 hereto.
