The minimum share capital is Sfr. 100,000, however only 20% of the par value of each share, or at least Sfr. 50,000, have to be deposited. If the share capital is not deposited in full as of the date of the incorporation, only registered shares may be issued. For the issuance of bearer shares (Inhaberaktien, actions au porteur) or voting shares (Stimmrechtsaktien, actions à droit de vote privilégié), the share capital has to be deposited in full. In the case of a contribution in cash, the payment has to be deposited, at the exclusive disposition of the corporation, with a Swiss bank. As soon as the corporation has been registered with the commercial register, the capital will be released to the corporation. In the case of a contribution in kind, the assets will be transferred to the corporation. Such assets must be apt to be appraised, realizable, and of use to the corporation. Contributions in kind may consist of movable property, real estate, accounts receivable, as well as holdings in other companies; entire businesses are frequently contributed as contributions in kind. Once registered with the commercial register, the corporation must have acquired ownership in the contributed assets. For a contribution in kind, a notarized agreement between the corporation and the shareholder on the contribution in kind as well as an appraisal of the contribution in kind certifying its adequacy in relation to the value of the assigned shares and/or its purchase price is required. An auditor will have to audit the formation report for completeness and accuracy and issue a written report on his or her findings.
