Source text - English To a greater extent than in April, the data flow in May tended to point to a slowing in the momentum of the U.S. and global economic recoveries.
A notable – and unpleasant – surprise came from the Institute of Supply Management (ISM’s) Purchasing Manager’s Index (PMI) which was released just after month end.
At 53.5 in May, the PMI was well below the 60.4 of April and indicated the weakest conditions in the U.S. manufacturing sector for 12 months.
As the ISM itself noted, ‘slower growth in new orders and production are the primary contributors to this month’s lower PMI reading. Manufacturers continue to experience significant cost pressures from commodities and other inputs.’
Other indicators from the U.S. towards the end of the month were, on balance, unfavourable.
The government’s estimate of growth in 1Q11 remained unchanged at 1.8%.
However, the revised composition of the growth suggested that the figure had been supported to a greater extent than previously thought by inventory accumulation: the contribution from final demand (i.e. consumer spending, which has been virtually stagnant) was revised downwards.
Durable goods orders – which can be quite volatile – slipped sharply in April.
Surveys of regional economic conditions that were conducted by the Federal Reserve Banks of Richmond, Kansas City and Philadelphia were downbeat.
Initial jobless claims averaged 425,000 through May – or rather more than the 423,000 in April and the levels – below 400,000 – in each of February and March.
Meanwhile, conditions in the housing market remain grim.
The National Association of Realtors’ index of pending home sales dropped by 11.6% in April, and is now 26.5% lower than it was in April 2010.
As noted a month ago, the Federal Open Market Committee (FOMC) kept its policy settings unchanged, maintaining the 0.00% to 0.25% target for the Federal Funds rate at its meeting on April 26-27.
The FOMC affirmed its commitment to purchasing $600bn of longer-term Treasury securities by the end of the second quarter of 2011.
The accompanying commentary from the FOMC had a slightly more doveish tone relative to that of previous months.
A key feature of May, and one that set it apart from April, was the general strength of the U.S. dollar in a month of heightened investor risk aversion.
During May, the U.S. dollar rose against virtually all other currencies – and relative to gold.

Source text - English (a) Appointment.
Subject to the terms and conditions of this Agreement, XX appoints the Partner as an independent, non exclusive, partner with the right to market and distribute the training material and solutions, as set forth in Schedule A, (hereinafter called “the Training Products”) in the territory and market perimeter as set forth in Schedule B (hereinafter called “the Territory”).
All marketing and distribution of the Training Products and any agreement concluded by Partner with End-Users shall be (i) to customers in the Territory that acquire Training Products for use within the Territory ("End‑Users") and (ii) pursuant to the terms of XX’s standard end‑user license agreement included as Schedule E to this agreement and in particular regarding to the respect and the protection of the intellectual property right.
Each party is acting as an independent contractor and not as an agent, employee, or joint venturer with the other party for any purpose.
Except as provided in this Agreement, neither party shall have any right, power, or authority to act or to create any obligation, express or implied, on behalf of the other.
The Partner shall bear all costs relating to the marketing and promotion of the Training Products.
(b) Right to Use Trademarks, Service Marks and Trade names.
Subject to the terms and conditions of this Agreement, XX grants the Partner a non‑exclusive license to use in the Territory those trademarks, service marks and trade names held by XX that are useful for the promotion and distribution of the Training Products (hereinafter called the "Marks and Names").
The Partner's use of such Marks and Names shall be limited as follows: (i) the Partner shall use such Marks and Names only with purpose to marketing and distributing the Training Products pursuant to this Agreement; (ii) the Partner shall not in any manner damage or impair any of XX’s rights in the Marks and Names, or infringe any right held by a third party in any Marks and Names; (iii) the Partner shall use its best efforts to protect the goodwill associated with the Marks and Names and shall not act in a manner that would tend to portray the Marks and Names, XX or any entity affiliated with XX in an unfavorable light; (iv) the Partner shall cause to appear with all use of the Marks and Names any label or symbol reasonably required by XX to preserve or protect XX's rights in the Marks and Names.
From time to time, upon request by XX, the Partner agrees to provide copies of all materials in which Partner uses the Marks and Names.
If the Partner becomes aware of any infringement of XX’s rights in the Marks and Names, the Partner shall immediately inform XX in writing.
XX will not be under any obligation to take action, but if it does so the Partner will render XX whatever assistance it reasonably requires.
(c) Restrictions on Appointment.
The Partner agrees that it shall not copy, alter, translate, reverse engineer, disassemble, or otherwise attempt to derive source code for the Training Products in whole or in part except as expressly permitted by law.
Partner further agrees that it will not authorize or appoint any dealers, sales agents, representatives, sub‑Partners, or other third parties to market or distribute the Training Products, unless the Partner obtains prior written approval from XX and such third party agrees in writing to be bound by the obligations and restrictions imposed on Partner by this Agreement.
The Partner further agrees not to represent, market, distribute or sell distance learning solutions published by any company with whom XX competes directly.

Ai sensi delle clausole e condizioni del presente Accordo, XX nomina il Partner proprio partner indipendente e non esclusivo, con il diritto di commercializzare e distribuire il materiale e le soluzioni di formazione di cui all'Appendice A (di seguito definiti “Prodotti di formazione”) nel territorio e perimetro di mercato di cui all'Appendice B (di seguito definiti “Territorio”).
Tutte le attività di commercializzazione e distribuzione dei Prodotti di formazione ed eventuali accordi sottoscritti dal Partner con Utenti finali saranno (i) diretti a clienti (di seguito definiti "Utenti finali") operanti sul Territorio e intenzionati all'acquisto di Prodotti di formazione da utilizzare nell'ambito del medesimo e (ii) regolati dalle clausole dell'accordo di licenza standard XX per utenti finali allegato al presente come Appendice E, in particolare per quanto riguarda il rispetto e la protezione dei diritti di proprietà intellettuale.
Ciascuna parte riveste il ruolo di contraente indipendente e non di agente, dipendente o socio di una joint venture della controparte.
Salvo per quanto specificato nel presente, nessuno dei due contraenti avrà il diritto, il potere o l'autorità di assumersi o imporre ad altri obblighi di alcun tipo, espliciti o impliciti, per conto della controparte.
Tutti i costi relativi alla commercializzazione e promozione dei Prodotti di formazione saranno a carico del Partner.
(b) Diritto di utilizzare marchi di fabbrica, nominativi commerciali e marchi di servizi.
Ai sensi delle clausole e condizioni del presente Accordo, XX accorda al Partner una licenza non esclusiva finalizzata all'utilizzo nel Territorio di detti marchi di fabbrica, nominativi commerciali e marchi di servizi (di seguito definiti "Marchi e nomi"), di proprietà di XX, utili per la promozione e distribuzione dei Prodotti di formazione.
L'utilizzo, da parte del Partner, di tali Marchi e Nomi sarà regolato dalle seguenti normative: (i) il Partner li utilizzerà esclusivamente al fine di commercializzare e distribuire i Prodotti di formazione ai sensi del presente Accordo; (ii) il Partner si asterrà sempre e comunque dall'intaccare o compromettere in alcun modo qualsiasi diritto di XX al riguardo, o dal violare eventuali diritti detenuti da una terza parte nei confronti di ciascuno di essi; (iii) il Partner farà del proprio meglio al fine di salvaguardarne l'immagine e si asterrà da comportamenti potenzialmente in grado di gettare una luce sfavorevole sui Marchi e Nomi, XX o qualsiasi entità e essa correlata; (iv) il Partner provvederà ad affiancare ai Marchi e Nomi eventuali etichette o simboli ragionevolmente richiesti da XX al fine di salvaguardare i propri diritti sui suddetti.
Il Partner si impegna a provvedere di volta in volta, dietro richiesta di XX, a fornirle copie di tutti i materiali che prevedono l'utilizzo di Marchi e Nomi.
Nel caso in cui venga a conoscenza si eventuali violazioni dei diritti di XX su Marchi e Nomi, il Partner gliele segnalerà immediatamente per iscritto.
XX non sarà in alcun modo tenuta a intervenire ma, nel caso in cui decida in tal senso, il Partner provvederà a offrirle qualsiasi assistenza da essa ragionevolmente richiesta.
(c) Limitazioni alla nomina.
Il Partner si impegna ad astenersi, salvo che nella misura espressamente consentita dalla legge, dal copiare, modificare, tradurre, retroingegnerizzare, decodificare o altrimenti tentare di ricavare, del tutto o in parte, il codice sorgente dei Prodotti di formazione.
Il Partner si impegna inoltre ad astenersi dall'autorizzare o incaricare qualsiasi rivenditore, agente di vendita, rappresentante, subpartner o altra terza parte di commercializzare o distribuire i Prodotti di formazione, a meno che non ottenga la previa approvazione scritta di XX e la terza parte in questione si impegni per iscritto a rispettare gli obblighi e i vincoli sottoscritti dal partner stesso ai sensi del presente.
Il Partner si impegna inoltre ad astenersi dal rappresentare, commercializzare, distribuire o vendere soluzioni di apprendimento a distanza prodotte da qualsiasi azienda diretta concorrente di XX.

Les parties acceptent d'être liées par les présentes Conditions Particulières, ainsi que par les Conditions générales de XXXX jointes (les « Conditions générales») incluant les Annexes, qui font partie intégrante du présent Contrat. Un droit de salle sera du à la salle
Dans le cas où les redevances dues seraient supérieures au Minimum Garanti, le Licencié paiera à XXXX les redevances supplémentaires dues en vertu du paragraphe 11 (b) des Conditions générales. Ces redevances supplémentaires sont à payer par chèque, dans les 30 jours suivant la réception par le Licencié de la facture émise par XXXX.

XXXX, titolare dei diritti di utilizzo esclusivi, e per il mondo intero, della proprietà intellettuale di detto spettacolo, ha acconsentito ad accordare al Licenziatario il diritto di utilizzarla e/o sfruttarla nell'ambito del Territorio alle condizioni esposte di seguito.
I contraenti acconsentono a farsi vincolare dalle presenti Condizioni particolari nonché dalle Condizioni generali di XXXX (di seguito definite «Condizioni generali»), consultabili in allegato e comprendenti le Appendici, che fanno parte integrante del presente Contratto. Le royalty supplementari dovranno essere versate mediante assegno, entro i 30 giorni successivi al ricevimento, da parte del Licenziatario, della fattura emessa da XXXX.
Il Licenziatario si impegna a fornire alla Produzione, per soddisfarne le esigenze, 300 articoli di prodotto commercializzato al fine di consentire il lancio di attività caratterizzate da supporti mediatici, concorsi a premio, omaggi PR/destinati ai dipendenti, ecc.
