A. THE SELLER
1. CAPACITY
1.1 The Seller is a company duly organised and validly existing under
the laws of England and Wales.
1.2 The Seller has the full right and title of the Shares (defined in the
Share Purchase Agreement as the shares of the Company A), free
from any Security Interest (defined in SPA).
1.3 The Seller has the requisite power and authority to execute this
Agreement and perform its obligations and the transactions
contemplated in this Agreement.
1.4 The execution of, and the performance by the Seller of its
obligations under this Agreement will not:
1.4.1 result in a breach of any provision of its articles of association; or
1.4.2 result in a breach of any order, judgement or decree of any
Competent Authority to which it is a party or by which it is bound
and which is material in the context of the transactions
contemplated by this Agreement.
1.5 Other than as referred to in this Agreement, no consents,
approvals, authorisation or permits are required to be obtained by
the Seller in connection with the execution and performance of this
Agreement.
1.6 To the best of the Seller's knowledge, no insolvency proceedings
have been commenced against the Seller and the Companies for its
winding up or dissolution, nor has an insolvency administrator,
liquidator or similar officer been appointed with respect to any or all
of the Seller’s assets which would prevent the Seller and the
Companies from fulfilling its obligations under this Agreement.

A. EL VENDEDOR
1. CAPACIDAD
1.1 El Vendedor es una empresa debidamente organizada y legalmente constituida en virtud de las leyes de Inglaterra y Gales.
1.2 El Vendedor tiene pleno derecho de propiedad sobre las Acciones (según se define en el Acuerdo de Compra de Acciones [ACA] como las acciones de la Empresa A), sin Garantía Real (según se define en el ACA).
1.3 El Vendedor tiene la potestad y autoridad necesarias para celebrar este Acuerdo y cumplir sus obligaciones y las transacciones recogidas en este Acuerdo.
1.4 El cumplimiento del Vendedor de sus obligaciones recogidas en este Acuerdo, así como la firma del mismo no:
1.4.1 tendrán como resultado el incumplimiento de ninguna disposición de sus estatutos sociales; ni
1.4.2 tendrán como resultado el incumplimiento de ningún mandato, sentencia o decreto pronunciado por cualquier Autoridad Competente de la cual forme parte o por la que esté obligado y que sea relevante en el contexto de las transacciones contempladas por este Acuerdo.
1.5 Excepto según lo mencionado en este Acuerdo, el Vendedor no estará obligado a obtener consentimientos, aprobaciones, autorizaciones o permisos en relación con la firma y el cumplimiento de este Acuerdo.
1.6 Según el leal saber y entender del Vendedor, no se ha iniciado ningún proceso de insolvencia en contra del Vendedor y las Empresas para su liquidación o disolución, ni se ha designado ningún administrador concursal, liquidador o agente similar en relación a la totalidad o parte de los activos del Vendedor que pudiera impedir al Vendedor y a las Empresas cumplir sus obligaciones recogidas en este Acuerdo.

Soy Esperanza Jiménez de Oseguera, traductora autónoma a tiempo completo para clientes particulares y agencias de traducción. Licenciada en Traducción e Interpretación por la Universidad de Alicante y traductora-intérprete jurada de francés, autorizada por el Ministerio de Asuntos Exteriores y Colaboración español, desde 2007.
Mi combinación lingüística me permite traducir de inglés, francés y neerlandés a español. Estos idiomas son aquellos en los que me he formado profesionalmente. Con el fin de garantizar la máxima calidad, el idioma al que traduzco es siempre el español.
A lo largo de mi experiencia profesional he traducido y corregido textos financieros, económicos, turísticos, correspondencia diversa, y documentos legales tales como contratos, sentencias y actas.
Considero imprescindible mantenerme al día, por lo que complemento mi formación de manera continua asistiendo a conferencias, cursos, congresos,... tanto de perfeccionamiento lingüístico como de otros ámbitos, en España y en el extranjero.
I am Esperanza Jiménez de Oseguera, a full-time freelance translator for private clients and translation agencies. I have a degree in Translation and Interpretation from the University of Alicante and I am a sworn French translator and interpreter, authorized by the Spanish Ministry of Foreign Affairs and Cooperation since 2007.
My language combination allows me to translate from English, French, and Dutch into Spanish. These languages are the ones in which I have received professional training. To ensure the highest quality, I always translate into Spanish.
Throughout my professional experience, I have translated and proofread financial, economic, tourism, various correspondence, and legal documents such as contracts, judgments, and minutes.
I consider it essential to stay up to date, so I continuously supplement my education by attending conferences, courses, congresses, both for linguistic improvement and other fields, in Spain and abroad.
