El 18 de julio de 1997, el Centro Internacional de Arreglo de Diferencias Relativas a Inversiones (CIADI o el Centro) recibió del señor Emilio Agustín Maffezini una Solicitud de Arbitraje en contra del Reino de España. La solicitud se refería a una controversia suscitada por el tratamiento que supuestamente recibió el señor Maffezini por parte de entidades españolas, en relación con su inversión en una empresa para la fabricación y distribución de productos químicos en la región española de Galicia. En su solicitud, el Demandante invocaba las disposiciones del “Acuerdo para la promoción y la protección recíproca de inversiones entre el Reino de España y la República Argentina” (el Acuerdo Bilateral sobre Inversiones o ABI Argentina-España).1 La solicitud también invocaba, en aplicación de la cláusula de la nación más favorecida (CNMF) contenida en el ABI Argentina-España, las disposiciones de un acuerdo bilateral sobre inversiones suscrito entre la República de Chile (Chile) y España en 1991.2 5. Al mismo tiempo, el Centro solicitó al señor Maffezini proporcionar: (i) información específica acerca de las cuestiones jurídicas objeto de la diferencia materia de su solicitud y acerca del carácter de la inversión comprometida; (ii) informa- 1 Acuerdo entre Argentina y España del 3 de octubre de 1991, en adelante citado como el ABI Argentina-España. 2 Acuerdo entre Chile y España del 2 de octubre de 1991, en adelante citado como el ABI Chile-España. CASES 5 ción sobre los términos completos del consentimiento de España de someter la diferencia a arbitraje bajo el Convenio sobre Arreglo de Diferencias Relativas a Inversiones entre Estados y Nacionales de Otros Estados (el Convenio del CIADI); (iii) información sobre los fundamentos de su afirmación de que la cláusula de la nación más favorecida contenida en el ABI Argentina-España le permitiría invocar el consentimiento de España contenido en el ABI Chile-España, y (iv) documentación relativa a la entrada en vigor de los acuerdos bilaterales sobre inversión invocados en la solicitud. El señor Maffezini proporcionó esta información en dos cartas de fechas 10 de septiembre y 29 de septiembre de 1997. 6. El 30 de octubre de 1997, el Secretario General del Centro registró la solicitud, de conformidad con el Artículo 36(3) del Convenio del CIADI. En la misma fecha, el Secretario General, de acuerdo con la Regla 7 de las Reglas de Iniciación, notificó a las partes del acto de registro de la solicitud y las invitó a proceder a constituir un Tribunal de Arbitraje lo antes posible. 7. El 22 de diciembre de 1997, el Demandante propuso al Demandado que el Tribunal de Arbitraje estuviera constituido por un árbitro único, nombrado por acuerdo de las partes. El Demandante propuso además que, si las partes no llegaban a un acuerdo en cuanto al nombre del árbitro único para el 31 de enero de 1998, el árbitro único fuera nombrado por el Secretario General del CIADI. 8. El 5 de marzo de 1998, en vista de que España no había dado respuesta a la propuesta del Demandante y de que habían transcurrido más de 60 días desde la fecha de registro de la solicitud, el Demandante informó al Secretario General que optaba por la fórmula prevista en el Artículo 37(2)(b) del Convenio del CIADI. En consecuencia, el Tribunal se constituiría con tres árbitros, uno designado por el señor Maffezini, uno designado por España y el tercero, que presidiría el Tribunal, nombrado de común acuerdo por las partes. 9. El 18 de marzo de 1998, el Centro recibió una comunicación del Ministerio de Economía y Hacienda de España, por medio de la cual España adelantaba tener objeciones a la jurisdicción del Centro y a la competencia del Tribunal, presentando a la vez un resumen de los fundamentos de dichas objeciones. El Centro informó sin demora al Demandado que oportunamente remitiría a cada uno de los Miembros del Tribunal una 6 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL copia de esta comunicación, así como copias de la solicitud de arbitraje y de su documentación anexa, de la notificación del acto de registro y de la correspondencia intercambiada entre las partes y el Centro, observando que la cuestión de la jurisdicción era un asunto que debía decidir el propio Tribunal. 10. El 24 de abril de 1998, el señor Maffezini designó como árbitro al Profesor Thomas Buergenthal, nacional de los Estados Unidos de América. El 4 de mayo de 1998, España nombró como árbitro al señor Maurice Wolf, también nacional de los Estados Unidos de América. Las partes, no obstante, no llegaron a un acuerdo en cuanto al nombramiento del tercer árbitro que había de presidir el Tribunal. En tales circunstancias, mediante una comunicación fechada el 14 de mayo de 1998, el Demandante solicitó que el tercer árbitro del proceso y Presidente del Tribunal, fuera nombrado por el Presidente del Consejo Administrativo del Centro, de conformidad con el Artículo 38 del Convenio del CIADI y la Regla 4 de las Reglas de Arbitraje del Centro.3 11. Habiendo consultado con las partes, el Presidente del Consejo Administrativo del CIADI nombró al Profesor Francisco Orrego Vicuña, nacional de Chile, como Presidente del Tribunal de Arbitraje. El 24 de junio de 1998, el Consejero Jurídico Principal del CIADI, en nombre del Secretario General del Centro, y de conformidad con la Regla 6(1) de Reglas de Arbitraje, notificó a las partes que todos los árbitros habían aceptado sus nombramientos y que, por consiguiente, el Tribunal se entendía constituido en esa fecha. El mismo día, de conformidad con la Regla 25 del Reglamento Administrativo y Financiero del CIADI, se informó a las partes que el señor Gonzalo Flores, Consejero Jurídico del CIADI, se desempeñaría como Secretario del Tribunal de Arbitraje. 12. El 3 de julio de 1998, el Demandado presentó una solicitud de medidas provisionales por la que requería que el Demandante constituyera 3 Conforme al Artículo 38 del Convenio del CIADI y a la Regla de Arbitraje 4, si el Tribunal no llegare a constituirse dentro de los 90 días siguientes a la fecha del envío de la notificación del acto de registro, el Presidente del Consejo Administrativo del CIADI, a petición de cualquiera de las partes, y en lo posible previa consulta a ambas partes, deberá nombrar al o los árbitros que aún no hubieren sido designados y designar a un árbitro para que actúe como Presidente del Tribunal. CASES 7 una garantía por el monto de las costas en las que se esperaba que podía incurrir España para defenderse de esta acción. A su vez, por medio de una comunicación del 7 de agosto de 1998, el Demandante solicitó al Tribunal desestimar la referida presentación. 13. Después de consultar con las partes, el Tribunal fijó una primera sesión para el 21 de agosto de 1998. El 20 de agosto de 1998, el representante del Demandado entregó personalmente un documento que contenía las objeciones de España a la jurisdicción del Centro. Con esa misma fecha el Centro transmitió una copia de la presentación de España a los Miembros del Tribunal. El Secretario del Tribunal entregó una copia del documento presentado por España al representante del Demandante en el curso de la primera sesión del Tribunal con las partes. 14. La primera sesión del Tribunal con las partes se llevó a cabo, según lo previsto, el 21 de agosto de 1998, en la sede del CIADI en Washington, D.C. En dicha sesión, las partes expresaron su acuerdo en que el Tribunal había sido correctamente constituido, de conformidad con las disposiciones pertinentes del Convenio del CIADI y las Reglas de Arbitraje, señalando que no tenían objeción alguna a este respecto. El Tribunal declara que, en consecuencia, fue constituido de conformidad con lo dispuesto en dicho Convenio. 15. En el curso de la primera sesión, las partes se manifestaron de acuerdo sobre diversos aspectos de procedimiento de los que se dejó constancia en la respectiva acta, firmada por el Presidente y el Secretario del Tribunal. Las partes eligieron el castellano como idioma para el procedimiento, y se seleccionó a Washington, D.C., sede del Centro, como el lugar oficial para su tramitación. El Demandado, representado en la sesión por el señor Rafael Andrés León Cavero, hizo presente al Tribunal sus objeciones a la jurisdicción del Centro. El Tribunal, después de escuchar brevemente los puntos de vista de las partes sobre esta materia, estableció los siguientes plazos para las actuaciones escritas del procedimiento: el Demandante presentaría un memorial, con todos sus argumentos sobre la cuestión de la jurisdicción y sobre el fondo de la diferencia dentro de 90 días contados a partir de la fecha de la primera sesión; el Demandado presentaría luego un memorial de contestación, con todos sus argumentos sobre la cuestión de la jurisdicción y sobre el fondo de la diferencia dentro de 90 días desde la fecha de recepción del memorial del Demandante. El Tribunal dejó abierta la posibilidad de requerir la presentación de escritos 8 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL de réplica y dúplica a las partes. El Tribunal dejó igualmente abierta la posibilidad de celebrar una audiencia sobre el tema de la jurisdicción. 16. De conformidad con los plazos establecidos, el Demandante presentó al Centro su memorial sobre el fondo de la diferencia y sobre la cuestión de la jurisdicción el 19 de noviembre de 1998. El 9 de abril de 1999, una vez admitida una solicitud de prórroga del plazo para presentar su memorial de contestación, el Demandado presentó sus argumentos escritos sobre el fondo de la diferencia y sobre la cuestión de la jurisdicción. 17. El 14 de mayo de 1999, el Tribunal invitó a las partes a presentar cualquier observación adicional que tuvieran sobre la cuestión de la jurisdicción, convocando a una audiencia sobre este tema para el día 7 de julio de 1999, en la sede del Centro en Washington, D.C. Las partes presentaron sus observaciones finales sobre la cuestión de la jurisdicción el 3 de junio de 1999 (el Demandante) y el 18 de junio de 1999 (el Demandado). En atención a sucesivas solicitudes presentadas, primero por el representante del Demandado, y posteriormente por el representante del Demandante, la audiencia sobre la jurisdicción fue aplazada hasta el 9 de agosto de 1999. 18. En la sesión del 9 de agosto de 1999, el Dr. Raúl Emilio Vinuesa se dirigió al Tribunal en representación del Demandante, refiriéndose a los argumentos presentados anteriormente por escrito. El señor Rafael Andrés León Cavero se dirigió al Tribunal en representación del Reino de España. El Tribunal hizo luego preguntas a los representantes de las partes, según lo dispuesto en la Regla 32(3) de las Reglas de Arbitraje. 19. Habiendo escuchado los puntos de vista de las partes, el Tribunal dictó, con fecha 26 de agosto de 1999, la Resolución Procesal N° 1, mediante la cual decidió que, de conformidad con el Artículo 41(2) del Convenio del CIADI y la Regla 41(3) de las Reglas de Arbitraje, consideraría la cuestión de la jurisdicción como asunto preliminar, suspendiendo por lo tanto el procedimiento sobre el fondo de la diferencia. 20. El 28 de octubre de 1999, el Tribunal dictó la Resolución Procesal N° 2 referente a la solicitud de medidas provisionales presentada por España. El Tribunal, indicando que la recomendación de medidas provisionales con el objeto de resguardar meras expectativas de éxito por parte del Demandado implicaría prejuzgar la causa del Demandante, rechazó por unanimidad la solicitud de España. El Secretario del Tribunal envió a las CASES 9 partes copias certificadas de la Resolución Procesal Nº2 dictada por el Tribunal. Se adjunta al presente laudo, como parte integral de éste, una copia de la Resolución Procesal Nº 2. 21. El 25 de enero de 2000, el Tribunal, luego de haber deliberado por correspondencia, emitió una decisión unánime sobre las objeciones a la jurisdicción planteadas por el Reino de España. En su decisión, el Tribunal rechazó el argumento de Demandado de que el Demandante no había cumplido con la exigencia de agotar los recursos internos establecida en el Artículo X del ABI Argentina-España. Además, en vista de la aplicación de la cláusula de la nación más favorecida incluida en el ABI Argentina- España y, por lo tanto, basándose en los arreglos más favorables contenidos en el ABI Chile-España, el Tribunal rechazó el argumento de España en el sentido de que el Demandante debería haber presentado el caso ante los tribunales españoles antes de someterlo a arbitraje internacional en virtud del Artículo X(2) del ABI, y concluyó que el Demandante tenía derecho a someter a arbitraje la controversia sin recurrir primero a los tribunales españoles. Por último, refiriéndose a las otras objeciones a la jurisdicción presentadas por España, el Tribunal determinó que el Demandante había demostrado prima facie que tenía derecho a presentar este caso, que la Sociedad para el Desarrollo Industrial de Galicia Sociedad Anónima (SODIGA S.A. o SODIGA) era una entidad estatal que actuaba en nombre del Reino de España y que la controversia había surgido con posterioridad a la entrada en vigor del ABI Argentina-España y del ABI Chile-España. Sobre estas bases, el Tribunal determinó que el Centro tenía jurisdicción y que el Tribunal era competente para considerar la diferencia entre las partes de conformidad con las disposiciones del ABI Argentina-España. 22. El Secretario del Tribunal envió copias certificadas de la decisión del Tribunal a las partes. Se adjunta al presente laudo, como parte integral de éste, una copia de la decisión sobre la jurisdicción emitida por el Tribunal. 2. Procedimiento conducente al laudo sobre el fondo de la controversia 23. El 25 de enero de 2000, el Tribunal, tras su decisión sobre la jurisdicción, dictó, de conformidad con las Reglas 19 y 41(4) de las Reglas de Arbitraje del Centro, la Resolución Procesal N°3 para la continuación del procedimiento sobre el fondo de la diferencia. En dicha Resolución Procesal el Tribunal fijó el siguiente calendario para los procedimientos ulteriores: habiendo las partes presentado sus escritos principales sobre el 10 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL fondo de la diferencia, el Demandante presentaría un memorial de réplica relativo al fondo de la diferencia dentro de 45 días contados desde la fecha de la recepción de la decisión del Tribunal sobre la cuestión de la jurisdicción, y el Demandado presentaría un memorial de dúplica sobre el fondo dentro de 45 días contados desde la recepción del memorial de réplica del Demandante. Una vez que el Tribunal hubiera recibido estos memoriales, propondría la fecha para una audiencia. 24. Conforme a ese calendario, el 21 de marzo de 2000, el Demandante presentó al Centro su memorial de réplica sobre el fondo de la diferencia. El 3 de mayo de 2000, el Demandado presentó sus escritos de dúplica sobre el fondo. 25. Por medio de una carta de fecha 10 de mayo de 2000, el Tribunal, luego de haber consultado a los representantes de ambas partes, convocó a una audiencia sobre el fondo de la diferencia a celebrarse durante la semana del 10 de julio de 2000 en Londres, Inglaterra. 26. Por carta de 2 de junio de 2000, el Tribunal, de conformidad con la Regla 34(2)(a) de las Reglas de Arbitraje, requirió al Demandante que presentara los siguientes testigos para su interrogatorio durante la audiencia sobre el fondo de la controversia: señor Emilio Agustín Maffezini, señor Silverio Bouzas Piñeiro y señor Héctor Rodríguez Molnar. 27. En esa misma carta del 2 de junio de 2000, el Tribunal, de conformidad con la Regla 34(2)(a) de las Reglas de Arbitraje, requirió al Demandado que presentara los siguientes testigos para su interrogatorio durante la audiencia sobre el fondo de la controversia: señor Ricardo Méndez Rey, señor Manuel Mucientes Iglesias, señor Luis Fernández García y señor Luis Soto Baños. Además, el Tribunal requirió que el Demandado pusiera a disposición para interrogatorio al perito señor José Ramón Álvarez Arnau. 28. De acuerdo con las instrucciones del 2 de junio de 2000 impartidas por el Tribunal, la audiencia sobre el fondo de la diferencia se llevaría a cabo como sigue: El Tribunal deliberaría privadamente el lunes 10 de julio de 2000. CASES 11 La audiencia sobre el fondo de la diferencia comenzaría el martes 11 de julio de 2000 a las 10:00 a.m. Primero, el representante del Demandante haría una presentación oral de 30 minutos, y luego el representante del Demandado haría lo propio durante otros 30 minutos. Posteriormente, cada parte tendría 15 minutos para presentar, a modo de réplica y dúplica, cualquier observación adicional que pudiera tener. Luego, el Demandante tendría la oportunidad de interrogar durante 30 minutos a cada uno de sus testigos, a lo que seguiría un interrogatorio de 30 minutos de cada uno de los testigos del Demandante por el representante del Demandado. A continuación, el Demandado tendría la ocasión de interrogar durante 30 minutos a cada uno de sus testigos y al perito, a lo que seguiría un interrogatorio de 30 minutos de cada uno de ellos por el representante del Demandante. Finalmente, el Demandante concluiría su intervención con una presentación de no más de 30 minutos, seguida de una presentación final del Demandado, también de 30 minutos. Los Miembros del Tribunal podrían hacer preguntas a los testigos y al perito, y pedirles explicaciones en cualquier momento durante la audiencia, pero tales preguntas no se contarían dentro del tiempo asignado a cada una de las partes. 29. Por carta de fecha 5 de julio de 2000, el representante del Demandante presentó la declaración escrita del testigo solicitado a esta parte, señor Silverio Bouzas Piñeiro, y también una declaración adicional hecha por el señor Emilio Agustín Maffezini. 30. La audiencia sobre el fondo de la controversia se llevó a cabo según lo previsto en la semana del 10 de julio de 2000, en Londres, en la sede del Centro Internacional de Solución de Controversias (IDRC por su sigla en inglés). Se encontraban presentes en la audiencia: 12 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL Miembros del Tribunal Profesor Francisco Orrego Vicuña, Presidente; Juez Thomas Buergenthal, Árbitro, y Sr. Maurice Wolf, Árbitro. Secretaría del CIADI: Sr. Gonzalo Flores, Secretario del Tribunal En representación del Demandante: Dr. Raúl Emilio Vinuesa, Dra. Silvina González Napolitano y Dra. Gisela Makowski En representación del Demandado: Sr. Rafael León Cavero, Abogado del Estado También asistieron a la audiencia en representación del Demandado: Sra. Pilar Morán Reyero, Subdirectora General de Inversiones Exteriores del Ministerio de Economía del Reino de España, y el Sr. Félix Martínez Burgos, Consejero Comercial Jefe de la Oficina Comercial de España en Gran Bretaña. 31. La audiencia comenzó, según lo previsto, el 11 de julio de 2000 a las 10:00 a.m. Tras una breve introducción hecha por el Presidente del Tribunal, el Dr. Raúl Emilio Vinuesa, en representación del Demandante, presentó una exposición ante el Tribunal, refiriéndose a los argumentos señalados en sus argumentos escritos. A continuación, el señor Rafael Andrés León Cavero hizo una presentación ante el Tribunal en representación del Reino de España. 32. El señor Rodríguez Molnar fue el único de los testigos del Demandante requerido por el Tribunal que hizo su declaración en la audiencia. Como ya se ha señalado en el párrafo 29, los señores Maffezini y Bouzas Piñeiro presentaron declaraciones escritas al Centro con fecha 5 de julio de 2000. De los testigos del Demandado requeridos por el Tribunal hicieron sus declaraciones en la audiencia el señor Méndez Rey, el señor Mucientes Iglesias, el señor Fernández García y el señor Soto Baños. También se presentó el señor Álvarez Arnau, perito cuya presencia fue requerida por el Tribunal al Demandado. 33. La audiencia se suspendió en la tarde del 11 de julio de 2000 durante el interrogatorio del perito por el Demandante, debido a una emergencia CASES 13 médica que sufrió el señor Wolf. En vista de que, durante la sesión del Tribunal con las partes realizada el 21 de agosto de 1998, éstas habían convenido en que en las sesiones del Tribunal sólo se requeriría la presencia de la mayoría de sus miembros, los demás integrantes del Tribunal, con el acuerdo de las partes, decidieron continuar con la audiencia. En consecuencia, la audiencia prosiguió sin el señor Wolf y sin el Secretario del Tribunal, quien se retiró para prestar asistencia al señor Wolf. Aun cuando parte de las declaraciones de los testigos efectuadas durante la tarde del día 11 de julio de 2000 no fueron grabadas debido a un desperfecto técnico, hecho que fue dado a conocer a las partes, copias de las grabaciones de audio fueron posteriormente entregadas al Sr. Wolf y a los otros árbitros, de manera que todos los miembros del Tribunal tuvieron acceso a la mayoría de los testimonios prestados por los testigos y el perito. Todos los testigos y el perito que asistieron a la audiencia fueron interrogados por la parte que los presentaba y contrainterrogados por la otra parte, y respondieron las preguntas del Tribunal. El interrogatorio, el contrainterrogatorio y las preguntas formuladas por el Tribunal se realizaron en la sesión del 11 de julio de 2000. 34. La audiencia prosiguió en la mañana del 12 de julio de 2000. El señor Wolf no pudo asistir a esa sesión por enfermedad. Durante ésta, los representantes de ambas partes hicieron sus presentaciones finales, de acuerdo a lo programado. La audiencia concluyó con algunas observaciones finales del Presidente del Tribunal relativas a la eficiencia y el profesionalismo de los representantes de ambas partes al exponer sus causas. 35. El 9 de noviembre de 2000, los miembros del Tribunal se reunieron por última vez en la sede del Centro, en Washington, D.C., para las deliberaciones finales. 3. Declaración de cierre del procedimiento 36. La Regla 38 (1) de las Reglas de Arbitraje del CIADI dispone que cuando las partes han terminado de hacer sus presentaciones se debe declarar cerrado el procedimiento. 37. Habiendo examinado todas las presentaciones de las partes, el Tribunal llegó a la conclusión que no había solicitudes de ninguna de las partes, ni ninguna razón para reabrir el procedimiento, como se permite en virtud de la Regla 38 (2) de las Reglas de Arbitraje del CIADI. 14 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL 38. En consecuencia, por carta de fecha 2 de noviembre de 2000, el Tribunal declaró cerrado el procedimiento, de conformidad con la Regla 38 (1) de las Reglas de Arbitraje del CIADI. C. Resumen de los hechos y los argumentos 39. En 1989, el señor Emilio Agustín Maffezini decidió emprender la fabricación de diversos productos químicos en Galicia, España, para lo cual formó e invirtió en una sociedad denominada Emilio A. Maffezini S.A. (EAMSA). EAMSA se constituyó como sociedad en conformidad a las leyes de España el 15 de noviembre de 1989. El señor Maffezini suscribió el 70% del capital por un monto de 35 millones de pesetas españolas, pagando el 66,36% de esa cantidad en el momento de la constitución de la sociedad; el saldo se pagaría en una fecha posterior. La Sociedad para el Desarrollo Industrial de Galicia S.A. (SODIGA), entidad española cuya condición jurídica se examina más abajo, suscribió el 30% del capital, es decir, 15 millones de pesetas españolas. Se incluyó también a un tercer accionista nominal para dar cumplimiento a los requisitos legales relativos a la constitución de la sociedad, pero esa participación fue recomprada inmediatamente por el señor Maffezini. También se suscribió un contrato para la recompra de las acciones de SODIGA por parte del señor Maffezini. Dicho contrato estipulaba una tasa de interés del 12%, que era inferior a la tasa actual del mercado, de 16,6%, y reflejaba un acuerdo preferencial. Además, SODIGA otorgó un préstamo de 40 millones de pesetas españolas a la empresa recién constituida, a una tasa de interés preferencial, que se aplicaría por lo menos durante el primer año. El Ministerio de Hacienda de España y la Xunta de Galicia recibieron varias solicitudes de subvenciones, las que fueron aprobadas. 40. Se solicitó información sobre mercados potenciales a diversos organismos públicos españoles. Al mismo tiempo, EAMSA procedió a contratar a una firma consultora privada para que encontrara un terreno adecuado para comprar y realizara un estudio de los costos de construcción y de otras necesidades que pudiera tener la nueva empresa para iniciar su producción. Sobre la base de dicho estudio se adquirió el terreno y se celebraron contratos con varias firmas y proveedores. Por su parte, SODIGA también había emprendido una evaluación económica del proyecto a fin de decidir si participaría o no en él. CASES 15 41. El 24 de junio de 1991 se presentó una evaluación del impacto ambiental (EIA) ante la Xunta de Galicia, el gobierno de la Comunidad Autónoma de Galicia. Se proporcionó la información adicional solicitada, y la EIA fue aprobada finalmente el 15 de enero de 1992. Antes de obtenerse dicha aprobación se había comenzado a preparar el terreno para la construcción y se habían iniciado las obras de construcción de la planta. 42. Al tiempo que avanzaban los preparativos para la ejecución del proyecto, EAMSA comenzó a experimentar dificultades financieras. Se convino en realizar un incremento de capital, se solicitaron nuevos préstamos y se presentaron solicitudes de subvenciones adicionales, pero algunos de estos esfuerzos no prosperaron. Se realizó una transferencia de 30 millones de pesetas españolas de una cuenta personal del señor Maffezini a EAMSA, en circunstancias que se señalan más adelante. 43. A principios de marzo de 1992, el señor Maffezini impartió instrucciones de detener la construcción y de despedir a los empleados de EAMSA. En junio de 1994, un abogado del señor Maffezini presentó a SODIGA una oferta por la que se proponía a dicha entidad cancelar todas las deudas que EAMSA y el señor Maffezini tenían pendientes con SODIGA a cambio de los activos de EAMSA. SODIGA manifestó que aceptaría la oferta siempre y cuando el señor Maffezini estuviera dispuesto a pagar adicionalmente 2 millones de pesetas españolas. Esta propuesta fue rechazada por el señor Maffezini. Entonces, el señor Maffezini pidió a la Embajada de Argentina en Madrid que interviniera en el asunto. Después de intercambiar más correspondencia, SODIGA señaló, el 13 de junio de 1996, que estaba dispuesta aceptar la propuesta original que había hecho el abogado del señor Maffezini. El señor Maffezini no respondió a la última propuesta de SODIGA y poco tiempo después entabló el procedimiento de arbitraje del CIADI antes descrito. 44. Sobre la base de los hechos señalados, el señor Maffezini ha presentado cuatro reclamaciones principales ante este Tribunal. Primero, que dada la condición de entidad pública de SODIGA, todos sus actos y omisiones son imputables al Reino de España. Segundo, que el proyecto fracasó debido a la asesoría equivocada que le había dado SODIGA con respecto a los costos del proyecto, que resultaron ser considerablemente más elevados que las estimaciones iniciales. Tercero, que SODIGA también era responsable de los costos adicionales derivados de la EIA, dado que EAMSA se vio presionada a efectuar la inversión antes de que hubiera fina16 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL lizado el proceso de evaluación del impacto ambiental y antes de que se conocieran sus implicaciones. Cuarto, que el señor Maffezini no había convenido en hacer un préstamo de 30 millones de pesetas españolas a EAMSA y que la transferencia de esa suma de su cuenta personal a EAMSA había sido irregular. 45. El Reino de España ha rechazado estas pretensiones. Considera que SODIGA es una sociedad privada cuyos actos no pueden atribuirse al Estado. En todo caso, el Reino de España sostiene que el plazo de prescripción de un año que establece la legislación española para tales reclamaciones contra entidades públicas hace inadmisible la presente acción aún cuando se considerara que SODIGA es una repartición pública. España también sostiene que señor Maffezini era responsable del estudio de factibilidad del proyecto, que incluía la disponibilidad de mercados para sus productos como también los costos, y que el único propósito de los estudios y estimaciones realizados por SODIGA era permitirle decidir si participaría o no en la empresa. El Reino de España alega, además, que el señor Maffezini estaba plenamente consciente de los requisitos de la EIA y que decidió adquirir el terreno y proceder a la construcción antes de recibir la aprobación de la EIA, contrariamente al consejo de sus propios empleados y consultores. Según España, la transferencia de fondos a EAMSA contó con la plena autorización del señor Maffezini y fue realizada por un funcionario de SODIGA que actuó a título personal por instrucciones del señor Maffezini. Además, el Reino de España considera que, como cuestión de derecho, la propuesta de arreglo hecha en 1994 por el señor Maffezini era un ofrecimiento para celebrar un contrato. Dicha oferta nunca fue retirada y, por lo tanto, se convirtió en una obligación contractual cuando SODIGA la aceptó en 1996. D. Consideraciones Condición de SODIGA en el Reino de España 46. Durante la etapa de este procedimiento relacionada con la cuestión de la jurisdicción, el Tribunal examinó la condición de SODIGA en el Reino de España desde dos puntos de vista. En primer lugar, el Tribunal examinó si SODIGA era o no una repartición estatal para los efectos de determinar la jurisdicción del Centro y la competencia del Tribunal. Sobre este punto, el Tribunal determinó que el Demandante había demostrado prima facie que SODIGA era una repartición estatal que actuaba en CASES 17 nombre del Reino de España. Para llegar a esta conclusión se aplicó una prueba estructural y una prueba funcional. 47. Ahora el Tribunal puede confirmar esta determinación prima facie puesto que no se han presentado pruebas convincentes que la refuten. El Reino de España se ha basado sistemáticamente en la estructura de la administración pública española para sostener que SODIGA no entra en esa categoría y que simplemente se trata de una entidad financiera creada como sociedad privada. Entre otros argumentos para respaldar su posición, el Reino de España invocó el Artículo 2 de la Ley 30/92 del 27 de noviembre de 1992, que establece el régimen jurídico de las Administraciones Públicas y del Procedimiento Administrativo Común.4 Esta disposición identifica como administraciones públicas a la Administración General del Estado, la Administración de las Comunidades Autónomas y las entidades pertenecientes a las administraciones locales. También identifica en esta categoría a las entidades creadas en virtud del derecho público y que tienen una personalidad jurídica relacionada con cualquiera de las entidades señaladas. Esta enumeración concuerda con la prueba estructural utilizada por la administración española. 48. Pero, aunque se aplique la prueba estructural, es evidente que, en el período pertinente de la presente controversia, las sociedades financieras tales como SODIGA no podían excluirse del todo de la estructura general de la administración pública. De hecho, existían diversas entidades públicas que se regían por el derecho privado pero que ocasionalmente desempeñaban funciones públicas gobernadas por el derecho público.5 Así, por ejemplo, el Instituto Nacional de Industria, creado en 1941, seguido en 1992 por el grupo TENEO S.A., ambos con estrechas relaciones institucionales y financieras con SODIGA, así como la Sociedad Estatal de Participaciones Industriales, formada en 1995, se clasificaban en esta categoría mixta de entidades públicas con sistemas jurídicos privados.6 La condición de estas entidades siempre fue motivo de gran confusión.7 4 Ley No. 30/1992, 26 de noviembre de 1992, con enmiendas; texto en Luis Martín Rebollo: Leyes Administrativas, 1999, pág. 369. 5 Luis Martín Rebollo: "Estudio Preliminar y Esquema de la Organización de la Administración General del Estado y de la Estructura Orgánica Básica de los diferentes Ministerios", en op. cit., nota 4 supra, págs. 636, 639. 6 Ibid., págs. 639-640. 7 Ibid. pág. 679. 18 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL 49. La promulgación de la Ley 30/92 aclaró parcialmente esta situación. Cabe hacer notar, sin embargo, que la fecha de esta ley es posterior al período relevante, a saber, 27 de noviembre de 1992. Gradualmente se hizo la distinción entre entidades públicas empresariales que, si bien se rigen por el derecho privado, eventualmente podrían desempeñar algunas funciones públicas en virtud del derecho público8, y las sociedades mercantiles estatales. Estas últimas, si bien se consideran entidades públicas desde el punto de vista económico, desde el punto de vista jurídico se rigen por el ordenamiento privado y no por el derecho administrativo.9 Pero incluso en este caso, algunas actividades de estas sociedades mercantiles, tales como la contratación, se regían por el derecho administrativo.10 Con la aprobación de la Ley 6/1997, de 14 de abril de 1997, se prohibió a las sociedades mercantiles estatales desempeñar funciones que implicaran el ejercicio de autoridad pública.11 El ordenamiento sólo se completó recientemente con la promulgación de la Ley 1/1999, del 5 de enero de 1999, reguladora de las entidades de capital riesgo y de sus sociedades gestoras, incluida “XesGALICIA S.G.E.C.R., S.A.”, la sociedad que controla actualmente a SODIGA y que se estableció en 199912. 50. Sin embargo, la prueba estructural es solamente uno de los elementos que se deben tomar en cuenta. Otros aspectos que considera el derecho internacional son, en particular, el control de la sociedad por el Estado o por entidades estatales y los objetivos y funciones para los cuales se creó esa sociedad. Como lo destacó el Tribunal en su decisión sobre la jurisdicción, muchos de estos elementos apuntan, en el presente caso, a su carácter de entidad pública. 51. El segundo asunto que consideró el Tribunal durante la etapa relacionada con la cuestión de la jurisdicción fue si las acciones y omisiones reclamadas por el Demandante eran o no imputables al Estado. CASES 19 esta materia, el Tribunal llegó a la conclusión de que la determinación de si SODIGA era responsable o no de esos actos, de si estos causaban daño, de si todos estos actos y omisiones siempre fueron de índole gubernamental y no comercial, y, por lo tanto, de si podían imputarse al Estado español, eran todas cuestiones que sólo podrían resolverse en la etapa del procedimiento correspondiente al fondo de la controversia. 52. Al tratar estos asuntos, nuevamente el Tribunal debe apoyarse en el criterio funcional, es decir, debe establecer si determinados actos u omisiones son fundamentalmente de carácter comercial y no gubernamental o, a la inversa, si son de índole esencialmente gubernamental y no comercial. Las acciones comerciales no se pueden atribuir al Estado español, en tanto que las acciones gubernamentales sí se deben atribuir a éste. 53. SODIGA se constituyó como sociedad en 1972, en una época en que el Estado español estaba impulsando una política de promoción de la actividad industrial, sobre todo en las zonas más deprimidas del país. Esta política fue diseñada específicamente por el sector público a fin de estimular el desarrollo industrial de España. Para ello se crearon no menos de 22 entidades en diferentes regiones del país. Solamente cuatro de ellas estaban relacionadas con el sector privado. Todas las demás, incluida SODIGA, estaban estrechamente relacionadas con el Instituto Nacional de Industria y con las respectivas Comunidades Autónomas que, en el caso de SODIGA, era la Xunta de Galicia.13 54. Al igual que en el caso de EAMSA, estas entidades llevaron a cabo su política de promoción realizando inversiones en empresas de reciente creación, mediante el otorgamiento de préstamos y la celebración de contratos para la recompra de acciones, lo que en cierto sentido también representaba un préstamo diferido. La mayoría de estas iniciativas no tuvieron mucho éxito desde el punto de vista financiero, pero sí contribuyeron al desarrollo de la base industrial y comercial de sus respectivas regiones. Entre las deficiencias importantes de esta política que se han identificado se encuentra la falta de un marco jurídico y fiscal específico, dificultades en la recuperación de las inversiones realizadas y falta de conocimientos y preparación 13 Ibid., págs. 39-40. 20 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL profesionales. Estas deficiencias se vieron agravadas por presiones políticas para apoyar inversiones de dudosa viabilidad.14 55. Debido a los problemas que se produjeron con el enfoque original, las entidades en cuestión decidieron reorientar sus funciones. A partir de fines de la década de 1980, comenzaron a adoptar un enfoque más comercial, sobre todo para poder hacer frente a la creciente competencia de instituciones financieras europeas que llegaron a España tras su incorporación a la Comunidad Económica Europea. Como resultado de esta nueva orientación, las inversiones en empresas recién creadas disminuyeron considerablemente; más adelante, el número de empresas en las que se realizaron inversiones también disminuyó, y se invirtió capital en empresas consolidadas, en general por la vía de leveraged buy-outs, management buy-outs y management buy-ins.15 Al mismo tiempo, las pequeñas inversiones declinaron gradualmente. Estas fueron reemplazadas por inversiones de mayor cuantía en cada operación y empresa. 56. Como resultado de esta reorientación, en la década de 1990 estas entidades pasaron a ser participantes activos en una floreciente economía de mercado. Se discontinuaron varios proyectos de inversión y se produjo una cierta recuperación de capital, ya sea directamente o por medio de la venta de acciones en el mercado bursátil.16 En 1986 se creó la Asociación Española de Capital Inversión, anteriormente denominada Asociación Española de Entidades de Capital Riesgo. Dicha Asociación y su homóloga a nivel europeo, en la que SODIGA también participaba, han sido muy importantes en esta transformación. Durante la audiencia oral de este procedimiento, el Presidente de SODIGA y actual Presidente de “XesGALICIA S.G.E.C.R., S.A.”, señor Luis Fernández García, explicó claramente al Tribunal algunos de los cambios y resultados obtenidos. 57. Cuando se creó EAMSA, SODIGA estaba en proceso de transformación de una entidad típicamente estatal a una orientada al mercado. Si bien en un comienzo varias de las funciones de SODIGA eran más bien de carácter gubernamental, actualmente deben considerarse de índole comercial. Pero, en el momento de la transición, en realidad sus funciones eran 14 Ibid., pág. 40. 15 Ibid., págs. 45-46. 16 Ibid., págs. 30-31 CASES 21 de ambos tipos, algunas consideradas funciones esencialmente gubernamentales y otras básicamente comerciales. Como ya se mencionó, ésta es la línea divisoria entre aquellos actos u omisiones que pueden imputarse al Estado español y aquellos que no pueden atribuirse a este último. En consecuencia, el Tribunal debe clasificar los diversos actos u omisiones que han dado origen a la presente controversia. Responsabilidad por asesoría equivocada 58. El segundo reclamo principal del Demandante, como se ha observado antes, es que el proyecto fracasó debido a que SODIGA proporcionó asesoría incorrecta con respecto al costo del proyecto, que resultó muchísimo más alto que las estimaciones iniciales. Según el Demandante, la primera versión preliminar del proyecto de inversión se basó en un informe de SODIGA, de mayo de 1989, que fue preparado para determinar la viabilidad del proyecto. Si éste se hubiese completado, el costo final de la inversión habría sido tres veces mayor. 59. El Tribunal ya ha observado que España rechazó esta reclamación. Sostuvo que el señor Maffezini era responsable de haber encargado un estudio de factibilidad para el proyecto, y que el único propósito de las estimaciones de SODIGA era permitir a esa entidad decidir si participaría o no en la nueva empresa. España también expuso que el inversor era un empresario con experiencia y que él y su equipo de profesionales habían preparado el proyecto. Nunca se solicitó la asesoría de SODIGA y tampoco se indujo a EAMSA a realizar la inversión. Además, el estudio técnico de los costos fue preparado por una firma de consultoría, COTECNO, a solicitud de EAMSA. España declaró, asimismo, que el mayor costo no sobrepasaba el 21% y que ello se debía a los cambios en las especificaciones ordenados por el señor Maffezini. Según España, una vez descontado el incremento de los costos atribuibles al cambio de las especificaciones de la estimación inicial, el costo por metro cuadrado construido no difiere significativamente de la cifra estimada. 60. Según España, el verdadero problema fue que el proyecto estaba mal concebido. No se realizaron estudios de mercado, los servicios públicos españoles suministraron información en forma gratuita pues no era su responsabilidad prestar asesoría profesional, el terreno no se inspeccionó debidamente y requería labores adicionales y se modificaron las especificaciones cualitativas y cuantitativas de la construcción que se había contem22 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL plado. El señor Maffezini era responsable de todos esos problemas y había sido él quien finalmente había decidido detener las obras y despedir a todos los empleados de EAMSA. 61. El Tribunal ha examinado atentamente todas estas argumentaciones. Para ello, ha tenido en cuenta el hecho de que una de las funciones de SODIGA y de sus instituciones afiliadas en España era suministrar información a los inversores y empresarios a fin de promover la industrialización de la región en cuestión. Al respecto, es evidente que SODIGA no se limitó a proporcionar información a EAMSA. Puso a su disposición varios otros servicios. SODIGA proporcionó a EAMSA espacio de oficinas durante el período inicial y servicios contables que incluyeron asistencia con los desembolsos para el pago de cuentas y otros gastos. Como resultado de ello, hubo una considerable interacción entre los funcionarios de SODIGA y los empleados de EAMSA; en el curso de ese intercambio todos ellos estudiaron con cierto grado de detalle el proyecto, sus costos y su rentabilidad, así como la viabilidad y las perspectivas de la inversión propuesta. 62. No obstante, el Tribunal es de la opinión de que SODIGA no estaba cumpliendo una función pública al suministrar dicha información o ayuda a EAMSA. Por lo general, este tipo de actividad se limita a la asistencia comercial que muchas entidades financieras y comerciales proporcionan a sus posibles clientes. Sin embargo, algunos de los otros servicios suministrados están relacionados con otros aspectos de la reclamación. 63. Después de haber escuchado el testimonio de peritos y testigos sobre estas materias, el Tribunal también se ha formado la opinión de que el estudio de factibilidad preparado por SODIGA, deficiente o no, tenía como único propósito permitir a SODIGA decidir acerca de su participación en el capital de EAMSA, y que su finalidad no era reemplazar el estudio encargado por el inversor al contratar a COTECNO. Por lo tanto, no se puede responsabilizar a SODIGA por los costos adicionales, independientemente del monto real que éstos hubieran podido alcanzar. Además, la participación de SODIGA en el directorio de EAMSA, aspecto que también ha sido planteado por el Demandante para justificar la atribución de responsabilidades en este sentido, igualmente corresponde a los acuerdos comerciales normales. Los subsidios otorgados lo fueron a solicitud de EAMSA por el Estado español y por la Xunta de Galicia, pero no por SODIGA, con lo cual tampoco puede atribuirse un vínculo de responsabilidad a esta última. Incluso las tasas preferenciales correspondientes a los CASES 23 préstamos de SODIGA fueron pagadas por la Xunta de Galicia por la vía de reembolsos. 64. Al respecto, el Tribunal debe enfatizar que los acuerdos bilaterales sobre inversiones no son pólizas de seguro contra malas decisiones de negocios. Aunque probablemente sea cierto que las políticas y prácticas de SODIGA y sus entidades afiliadas eran deficientes en el período pertinente en España, no puede considerarse que ellas debían atenuar los riesgos comerciales inherentes a cualquier inversión que asumían los inversores. En ese sentido, ciertamente no se puede responsabilizar a España por las pérdidas que pueda haber sufrido el señor Maffezini como podría haberle ocurrido a cualquier otra entidad privada en circunstancias similares. Responsabilidad por la evaluación de impacto ambiental 65. El Demandante también reclama que SODIGA es responsable de los costos adicionales derivados de la EIA porque EAMSA fue presionada para iniciar la inversión antes que hubiera finalizado el proceso y de que se conocieran sus implicaciones. Según el Demandante, dicha presión obedeció a razones políticas de las autoridades de la Xunta de Galicia y del ayuntamiento local. La decisión del Demandante de detener las obras de construcción estuvo directamente relacionada con este incremento adicional de los costos del proyecto. 66. El Reino de España opina que el señor Maffezini tenía pleno conocimiento de los requisitos relativos a la EIA y decidió adquirir el terreno y proceder con las obras de construcción antes de la aprobación de dicha evaluación, y que lo hizo contrariamente al consejo de sus propios empleados y consultores. Se informó específicamente al Demandante sobre los requisitos legales vigentes en España y en el marco de la Comunidad Económica Europea, sobre todo porque el proyecto se relacionaba con la altamente tóxica industria química. El estudio inicial de la EIA preparado por EAMSA fue insuficiente y la Xunta de Galicia tuvo que solicitar información complementaria. Una vez que se le proporcionó dicha información, la aprobación de la EIA se otorgó en forma expedita. No se presionó a EAMSA y la decisión de discontinuar el proyecto no tuvo relación alguna con la EIA. 67. El Tribunal ha examinado atentamente estas argumentaciones, puesto que el procedimiento de evaluación de impacto ambiental es funda24 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL mental para proteger debidamente el medio ambiente y aplicar las medidas preventivas adecuadas. Esto es válido no sólo en el marco de la legislación española y de la CEE, sino también, en medida creciente, en el derecho internacional.17 68. El Tribunal observa que en España existe un mandato constitucional relativo a la protección del medio ambiente, consagrado en el Artículo 45 de la Constitución de 1978.18 En su párrafo 2 este Artículo dispone que “[l]os poderes públicos velarán por la utilización racional de todos los recursos naturales, con el fin de proteger y mejorar la calidad de la vida y defender y restaurar el medio ambiente, apoyándose en la indispensable solidaridad colectiva.”19 Este mandato se aplica no solamente a la Administración General del Estado, sino también a las Comunidades Autónomas y a los Ayuntamientos.20 Para dar cumplimiento a este mandato se han promulgado leyes específicas, entre ellas la Ley sobre residuos tóxicos y peligrosos21 y otros instrumentos.22 69. Particularmente importante es la legislación sobre la EIA. En la Directiva 85/337 de la CEE del 27 de junio de 198523 y en el Real Decreto Legislativo No. 1302/1986 de España, del 28 de junio de 198624 se establecen estrictos procedimientos al respecto. CASES 25 También forman parte de esa legislación la información pública, las consultas con las autoridades pertinentes, la obtención de licencias y otros procedimientos.25. En la Directiva de la CEE, así como en la directiva ulterior que la modifica,26 se exige “que se lleve a cabo una EIA antes de dar el consentimiento a ciertos proyectos públicos y privados que se considere que pueden tener importantes repercusiones ambientales.”27 En virtud de la legislación española, se puede ordenar la suspensión de proyectos, particularmente si las obras se han iniciado antes de la aprobación de la EIA.28 70. No puede caber duda de que para el proyecto de EAMSA se requería una EIA y de que tanto el señor Maffezini como sus empleados tenían conocimiento de ello. Los antecedentes son sumamente claros con respecto al intercambio de correspondencia y otras comunicaciones sobre la cuestión de los requisitos ambientales. Aparte del principio general de que el desconocimiento de la ley no constituye una defensa, en este caso hay pruebas de que el Demandante fue informado de dichos requisitos. Ello ocurrió cuando también se pidió a COTECNO que preparara el estudio inicial de EIA como parte de su estudio relativo a los costos. Pareciera que el inversor, como suele ocurrir, trató de minimizar este requisito para evitar costos adicionales o dificultades técnicas. Además, el Demandante tampoco ha explicado, y mucho menos demostrado, los costos o daños imputables al manejo de la EIA por las autoridades españolas. 71. En esta materia, el Reino de España y SODIGA no han hecho más que insistir en el estricto cumplimiento de la Directiva de la CEE y de la legislación española aplicables a la industria en cuestión. En consecuencia, no se puede responsabilizar a España por las decisiones adoptadas por el Demandante con respecto a la EIA. Además, la acción del Reino de España concuerda plenamente con la disposición del Artículo 2(1) del Acuerdo Bilateral sobre Inversiones Argentina-España, que exige la promoción de las inversiones en cumplimiento de la legislación nacional. El Demandante reclama también que se transfirieron 30 millones de pesetas españolas de su cuenta personal en la forma de un préstamo efectuado a EAMSA, a pesar de que él no había dado su consentimiento para ese préstamo. Además, el Demandante reclama de varias irregularidades atribuibles a los bancos privados que administraban sus cuentas, y sostiene que esos actos también comprometen la responsabilidad del Banco Central español, el Banco de España. 73. El Reino de España niega estas alegaciones argumentando que el señor Maffezini había dado su consentimiento al préstamo, autorizado la transferencia de los fondos e impartido instrucciones al señor Luis Soto Baños, representante de SODIGA ante EAMSA, para que llevara a cabo estas operaciones. Dado que para estos efectos el señor Soto Baños actuaba como representante personal del señor Maffezini, España expone que sus actos no pueden imputarse a SODIGA. Además, según España, las eventuales irregularidades de los bancos privados no son responsabilidad del Banco de España ni del Estado español. Por lo demás, los tribunales españoles están disponibles para decidir sobre cualquier reclamación que el señor Maffezini pueda tener contra dichos bancos. 74. A fines de 1991, cuando EAMSA atravesaba por dificultades financieras, se sostuvieron conversaciones acerca de la manera de superar esos problemas. En ese contexto, al parecer el señor Maffezini ofreció poner a disposición la suma de 30 millones de pesetas. Es un hecho que el 14 de noviembre de 1991, el señor Maffezini autorizó a su banco para que transfiriera dicha suma a la cuenta de EAMSA en el momento en que así lo solicitara el señor Soto Baños. Si bien es cierto que la orden no estaba condicionada a otros acontecimientos, es evidente que en ese momento no se habían negociado cabalmente ni las condiciones de los arreglos financieros ni los detalles relativos al posible préstamo. En ese momento tampoco se conocían las necesidades específicas de efectivo de EAMSA. 75. La orden de transferencia fue dada por el señor Soto Baños el 4 de febrero de 1992. Sin embargo, el compromiso financiero nunca llegó a formalizarse en un contrato obligatorio para el señor Maffezini; el préstamo tampoco fue aprobado por el directorio de EAMSA, ni antes ni después de la transferencia de los fondos. Al respecto, el Demandante ha explicado de manera convincente la distinción entre la autorización al banco para hacer CASES 27 una transferencia de fondos, instrucción que efectivamente fue dada por él, y la conversión de esa transacción en un contrato, que nunca fue suscrito ni autorizado por el señor Maffezini. Al parecer, la autorización de la transferencia fue dada en el supuesto de que estaría precedida por un contrato, pero en definitiva no se suscribió contrato alguno. El testimonio del señor Soto Baños durante la audiencia oral confirmó que el préstamo nunca fue formalizado. Si bien este tipo de arreglo financiero es común en situaciones de emergencia, la ausencia de un contrato previo o ulterior, que formalice la transacción en una obligación jurídica concreta, lleva a la conclusión de que este arreglo de facto no puede serle oponible al Demandante contra su consentimiento. 76. El Tribunal también llega a la conclusión de que en esta operación el señor Soto Baños no estaba actuando como representante personal del señor Maffezini, sino como funcionario de SODIGA. En la audiencia oral se confirmó que el señor Soto Baños discutió la transferencia de esos fondos con el Presidente de SODIGA y que este último lo autorizó a que procediera como mejor le pareciera. No se pidió una autorización similar de parte del señor Maffezini, a pesar de que había tiempo para hacerlo. Esa autorización adicional era necesaria porque, si bien el señor Soto Baños estaba autorizado a transferir los fondos, no se había llegado a un acuerdo sobre el uso que se les daría ni sobre las condiciones del préstamo. El hecho de que el señor Soto Baños no consultara al señor Maffezini, sino que pidiera y obtuviera la autorización para actuar del Presidente de SODIGA, permite concluir que la acción del señor Soto Baños, ya sea en el marco del mandato o ultra vires, es imputable a SODIGA. 77. Cabe preguntarse, por consiguiente, si dicha acción es de carácter meramente comercial o si se llevó a cabo en el ejercicio de las funciones públicas o gubernamentales de SODIGA. En este último caso, sería imputable al Estado español. 78. Es aquí donde las funciones públicas de SODIGA consideradas anteriormente adquieren especial importancia. Dado que SODIGA era una entidad encargada de poner en práctica políticas de gobierno relativas a la promoción industrial, ésta desempeñó varias funciones que normalmente no realizan las sociedades comerciales corrientes. El manejo de las cuentas de EAMSA como empresa participada, la gestión de sus pagos y sus finanzas, y, en general, la intervención en nombre de EAMSA ante las autoridades españolas sin recibir retribución por esos servicios, son elementos 28 ICSID REVIEW—FOREIGN INVESTMENT LAW JOURNAL que respondían al carácter y responsabilidades públicos de SODIGA. Además, la manera en que los bancos privados actuaron en este caso con respecto al préstamo se puede explicar en gran medida únicamente porque dichas entidades bancarias reconocieron que las órdenes e instrucciones de SODIGA tenían el peso del carácter público de las funciones que desempeñaba en Galicia, lo que llevó a su cumplimiento sin más resguardos. 79. Además, se debe señalar que si bien la transferencia fue calificada como un préstamo, en realidad representaba un incremento de la inversión. Esto explica las indagaciones hechas en el Ministerio de Economía acerca de si el préstamo debía registrarse como parte de la inversión. En el memorial de dúplica del Reino de España también se describe que las inversiones realizadas por del Demandante comprendían 35 millones de pesetas correspondientes a una suscripción de capital y 30 millones como préstamo a EAMSA, ambas presentadas para su registro en el Ministerio de Economía.29 Una decisión de incrementar la inversión adoptada no por el señor Maffezini sino por la entidad encargada por el Estado de promover la industrialización de Galicia no puede considerarse una actividad comercial. Más bien esa decisión derivó de las funciones públicas de SODIGA. 80. Si bien España ha sostenido que la transferencia en definitiva protegió la inversión y, por lo tanto, favoreció al señor Maffezini al fortalecer la situación financiera de EAMSA, esa no es una argumentación convincente porque el propio inversor no estimaba que tales medidas fueran apropiadas. Ni el hecho de que en las cuentas de EAMSA se asentara un crédito a favor del señor Maffezini, ni el argumento de que él podía recuperar en cualquier momento los 30 millones de pesetas que se habían transferido, cambia la situación ya que gran parte de los fondos se habían gastado y, en consecuencia, en la realidad no estaban disponibles para el señor Maffezini. 81. El Reino de España ha argumentado de manera convincente que ni el Estado español ni el Banco de España tienen responsabilidad en relación con las supuestas irregularidades atribuidas a los bancos privados, puesto que al Banco Central sólo le cabe una función de supervisión de los aspectos financieros y monetarios generales de las operaciones de dichas entidades bancarias, pero no con respecto a sus relaciones con los clientes. 29 Memorial de Dúplica del Reino de España, 3 de mayo de 2000, págs. 36-37. CASES 29 82. De conformidad con el Artículo 1214 del Código Civil español, la obligación de probar la existencia de una obligación recae en quien reclama su cumplimiento30. En este caso, no se ha presentado ninguna prueba escrita ni de otro tipo con respecto a la existencia de un préstamo que obligara al señor Maffezini. Por el contrario, las pruebas presentadas al Tribunal indican que no existía obligación jurídica en relación con tal préstamo. 83. Dado que las acciones de SODIGA relacionadas con el préstamo no se pueden considerar de carácter comercial y guardan relación con sus funciones públicas, la responsabilidad de dichas acciones es imputable al Reino de España. En particular, tales acciones representan un incumplimiento por parte de España de su obligación de proteger la inversión, según lo dispuesto en el Artículo 3(1) del Acuerdo Bilateral sobre Inversiones Argentina-España. Además, la falta de transparencia con que se llevó a cabo esta operación crediticia es incompatible con el compromiso de España de garantizar al inversor un tratamiento justo y equitativo de conformidad con el Artículo 4(1) de dicho instrumento. En consecuencia, el Tribunal determina que, con respecto a esta reclamación, el Demandante ha demostrado su procedencia y tiene derecho a indemnización en la forma que se describe más abajo. Negociaciones sobre desinversión 84. El Tribunal debe ahora examinar la cuestión de las negociaciones sobre desinversión que tuvieron lugar entre 1994 y 1996, y el significado de dichas negociaciones. El Tribunal tiene muy presente que uno de los graves problemas que registra la experiencia de promoción industrial en España guarda relación con la desinversión y la recuperación de los aportes de capital y de los préstamos efectuados por las entidades de capital riesgo a nuevas empresas. 85. The Tribunal has taken into account all arguments, documents and testimonies in this case that it has considered relevant. B. Summary of the Proceeding 1. Proceeding for the Decision on Jurisdiction 4. On July 18, 1997, the International Centre for Settlement of Investment Disputes (ICSID) received a Request for Arbitration from Mr. Emilio Agustín Maffezini against the Kingdom of Spain. The Request referred to a dispute raised by the treatment that Mr. Maffezini allegedly received from Spanish entities regarding his investment in a company for the production and distribution of chemical products in the Spanish region of Galicia. In his Request, the Claimant invoked the provisions of the “Treaty for the Reciprocal Promotion and Protection of Investments Between the Kingdom of Spain and the Argentine Republic” (the Bilateral Investment Treaty or Argentina-Spain BIT). The Request also invoked, in application of the most-favored-nation clause (MFNC) contained in the Argentina-Spain BIT, the provisions of the 1991 bilateral investment treaty between the Republic of Chile (Chile) and Spain. 5. On August 8, 1997, in accordance with Rule 5 of the ICSID Rules of Procedure for the Institution of Conciliation and Arbitration Proceedings (Institution Rules), the Centre acknowledged its reception of the Request and on the same date sent a copy of the Request to Spain and the Spanish Embassy in Washington, D.C. At the same time, the Centre requested that Mr. Maffezini supply: (i) specific information about the legal issues in dispute and the nature of the promised investment that is the subject of his Request; (ii) information about the complete terms of the consent by Spain to submit the dispute to arbitration under the Convention on the Settlement of Investment Disputes between States and Nationals of Other States (the ICSID Convention); (iii) information about the basis of his claim that the most-favored-nation clause contained in the Argentina-Spain BIT allowed him to invoke Spain’s consent contained in the Chile-Spain BIT; and (iv) documentation regarding the entry into force of the bilateral treaties on investment invoked in the Request. Mr. Maffezini supplied this information in two letters dated September 10 and September 29, 1997. 6. On October 30, 1997, the Secretary-General of the Centre registered the Request in accordance with Article 36(3) of the ICSID Convention. On the same date, in accordance with Rule 7 of the Institution Rules, the Secretary-General notified the parties of the registration of the Request and asked them to proceed with constituting an Arbitral Tribunal as soon as possible. 7. On December 22, 1997, the Claimant proposed to the Respondent that the Arbitral Tribunal be constituted by a sole arbitrator appointed by the agreement of the parties. The Claimant also proposed that, if the parties could not reach an agreement regarding the appointment of the sole arbitrator by January 31, 1998, the sole arbitrator would be appointed by the Secretary-General of ICSID. 8. On March 5, 1998, as Spain had not responded to the Claimant’s proposal and as more than 60 days had passed since the registration date of the Request, the Claimant informed the Secretary-General that he was opting for the formula established in Article 37(2)(b) of the ICSID Convention. Consequently, the Tribunal would consist of three arbitrators, one appointed by Mr. Maffezini, one appointed by Spain, and the third, who would be the president of the Tribunal, appointed by agreement of the parties. 9. On March 18, 1998, the Centre received a notice from the Ministry of Economy and Finance of Spain in which Spain indicated that it had objections to the jurisdiction of the Centre and the competence of the Tribunal, and which also offered a summary of the basis of these objections. The Centre promptly informed the Respondent that it would send a copy of this notice in a timely manner to each of the Members of the Tribunal, as well as copies of the Request for Arbitration and its attached information, the notification of the act of registration, and the correspondence exchanged between the parties and the Centre. The Centre also observed that the issue of jurisdiction was a matter that the Tribunal itself ought to decide. 10. On April 24, 1998, Mr. Maffezini appointed Professor Thomas Buergenthal, a United States national, as arbitrator. On May 4, 1998, Spain appointed Mr. Maurice Wolf, also a United States national, as arbitrator. However, the parties did not reach an agreement regarding the appointment of a third arbitrator who would preside over the Tribunal. In such circumstances, in a notice dated May 14, 1998, the Claimant requested that the third arbitrator of the proceedings and President of the Tribunal be appointed by the Chairman of the Administrative Council of the Centre in accordance with Article 38 of the ICSID Convention and Rule 4 of the Arbitration Rules of the Centre. 11. Having consulted the parties, the Chairman of the Administrative Council appointed Professor Francisco Orrego Vicuña, a Chilean national, as President of the Arbitral Tribunal. On June 24, 1998, the Senior Legal Counsel of ICSID, in the name of the Secretary-General of the Centre and in accordance with Rule 6(1) of the Arbitration Rules, notified the parties that all the arbitrators had accepted their appointments and that, consequently, the Tribunal would be understood to be constituted beginning on that date. On that same date, in accordance with Rule 25 of the Administrative and Financial Regulations, the Senior Legal Counsel also informed the parties that Mr. Gonzalo Flores, Legal Counsel of ICSID, would act as Secretary of the Arbitral Tribunal. 12. On July 3, 1998, the Respondent submitted an application for provisional measures that would require the Claimant to post a guaranty in the amount of the costs expected to be incurred by Spain to defend itself against this action. In turn, in a communication dated August 7, 1998, the Claimant requested that the Tribunal dismiss said application. 13. After consulting the parties, the Tribunal fixed the first session for the date of August 21, 1998. On August 20, 1998, the Respondent’s representative personally delivered a document containing Spain’s objections to the Centre’s jurisdiction. On the same date the Center sent a copy of Spain’s application to the Members of the Tribunal. The Secretary of the Tribunal delivered a copy of the document submitted by Spain to the Claimant’s representative in the course of the first session of the Tribunal with the parties. 14. The first session of the Tribunal with the parties took place as scheduled on August 21, 1998, on ICSID premises in Washington, D.C. In this session, the parties agreed that the Tribunal had been constituted correctly in accordance with the relevant provisions of the ICSID Convention and the Arbitration Rules, and noted that they had no objections in this respect. Consequently the Tribunal declared that it was constituted in accordance with the provisions of that Convention. 15. In the course of the first session, the parties agreed on various aspects of the proceeding that were recorded in the respective minutes, signed by the President and the Secretary of the Tribunal. The parties chose Spanish as the language of the proceedings and selected the ICSID premises in Washington, D.C., as the official venue for the proceeding. The Respondent, represented in the session by Mr. Rafael Andrés León Cavero, made its objections to the Centre’s jurisdiction known to the Tribunal. The Tribunal, after briefly hearing both parties’ points of view on the matter, established the following terms for the written records of the proceeding: the Claimant would submit a brief with all his arguments on the issue of jurisdiction and the merits of the dispute within 90 days starting from the date of the first session; the Respondent would then submit a reply brief with all its arguments on the issue of jurisdiction and the merits of the dispute within 90 days starting from the date on which the Claimant’s brief was received. The Tribunal left the possibility of requiring the submission of a reply and rejoinder open to the parties. The Tribunal also left the possibility of holding a hearing on the issue of jurisdiction open. 16. In accordance with the established terms, the Claimant submitted his brief on the merits of the dispute and the issue of jurisdiction to the Centre on November 19, 1998. On April 9, 1999, a request for an extension of the term for submitting its reply brief having been approved, the Respondent submitted its written arguments on the merits of the dispute and the issue of jurisdiction. 17. On May 14, 1999, the Tribunal invited the parties to submit any additional observations they had on the issue of jurisdiction and called a hearing on the matter to be held on July 7, 1999, on the ICSID premises in Washington, D.C. The parties submitted their final observations on the issue of jurisdiction on June 3, 1999 (the Claimant), and June 18, 1999 (the Respondent), respectively. Per successive requests submitted by the parties, first by the Respondent’s representative and then by the Claimant’s representative, the hearing on jurisdiction was postponed until August 9, 1999. 18. In the session on August 9, 1999, Dr. Raúl Emilio Vinuesa addressed the Tribunal on behalf of the Claimant, referring to the arguments previously submitted in writing. Mr. Rafael Andrés León Cavero addressed the Tribunal in representation of the Respondent. The Tribunal then asked the parties’ representatives questions according to the provisions of Rule 32(3) of the Arbitration Rules. 19. Having heard both parties’ points of view, the Tribunal issued Procedural Order No. 1, dated August 26, 1999, in which it decided that, in accordance with Article 41(2) of the ICSID Convention and Rule 41(3) of the Arbitration Rules, it would consider the issue of jurisdiction as a preliminary matter and therefore would suspend the proceeding on the merits of the dispute. 20. On October 28, 1999, the Tribunal issued Procedural Order No. 2 regarding the application for provisional measures submitted by Spain. The Tribunal, stating that the recommendation for provisional measures with the purpose of guarding against mere expectations of success on the part of the Respondent would involve prejudging the Claimant’s case, unanimously rejected Spain’s application. The Secretary of the Tribunal sent certified copies of Procedural Order No. 2 issued by the Tribunal to the parties. A copy of Procedural Order No. 2 is attached as an integral part of this award. 21. On January 25, 2000, the Tribunal, having deliberated by correspondence, issued a unanimous decision on the objections to jurisdiction raised by Spain. In its decision, the Tribunal rejected the Respondent’s argument that the Claimant had not fulfilled the requirement of exhausting the internal resources established in Article X of the Argentina-Spain BIT. Furthermore, in view of the application of the most-favored-nation clause included in the Argentina-Spain BIT and, therefore, based on the more favorable arrangements contained in the Chile-Spain BIT, the Tribunal rejected Spain’s argument on the grounds that the Claimant ought to have submitted the case to the Spanish courts before submitting it to international arbitration in virtue of Article X(2) of the BIT, and concluded that the Claimant had the right to submit the dispute to arbitration without first resorting to the Spanish courts. Finally, regarding the other objections to jurisdiction submitted by Spain, the Tribunal determined that the Claimant had shown prima facie that he had the right to submit this case, that Sociedad para el Desarrollo Industrial de Galicia Sociedad Anónima (SODIGA S.A. or SODIGA) was a state entity that was acting in the name of Spain and that the dispute had arisen after the Argentina-Spain BIT and the Chile-Spain BIT came into force. On these bases, the Tribunal determined that the Centre had jurisdiction and that it was competent to consider the difference between the parties in accordance with the provisions of the Argentina-Spain BIT. 22. The Secretary of the Tribunal sent certified copies of the decision of the Tribunal to the parties. A copy of the decision on jurisdiction issued by the Tribunal is attached as an integral part of this award. 2. Proceeding for the Award on the Merits of the Dispute 23. On January 25, 2000, after its decision on jurisdiction and in accordance with Rules 19 and 41(4) of the ICSID Arbitration Rules, the Tribunal issued Procedural Order No. 3 for the continuation of the proceeding on the merits of the dispute. In this Procedural Order the Tribunal set the following schedule for further proceedings: the parties having submitted their principal briefs on the merits of the dispute, the Claimant would submit a reply regarding said merits within 45 days starting on the date of reception of the Tribunal’s decision on the issue of jurisdiction, and the Respondent would submit a rejoinder on the merits within 45 days starting on the date of reception of the Claimant’s reply. Once the Tribunal had received these briefs, it would propose a date for a hearing. 24. In accordance with this schedule, the Claimant submitted his reply on the merits of the dispute to the Centre on March 21, 2000. On May 3, 2000, the Respondent submitted its rejoinders on the merits. 25. In a letter dated May 10, 2000, having consulted the representatives of both parties, the Tribunal called a hearing on the merits of the dispute to be held during the week of July 10, 2000, in London, England. 26. In a letter dated June 2, 2000, in accordance with Rule 34(2)(a) of the Arbitration Rules, the Tribunal required the Claimant to present the following witnesses for questioning during the hearing on the merits of the dispute: Mr. Emilio Agustín Maffezini, Mr. Silverio Bouzas Piñeiro and Mr. Héctor Rodríguez Molnar. 27. In that same letter dated June 2, 2000, in accordance with Rule 34(2)(a) of the Arbitration Rules, the Tribunal required the Respondent to present the following witnesses for questioning during the hearing on the merits of the dispute: Mr. Ricardo Méndez Rey, Mr. Manuel Mucientes Iglesias, Mr. Luis Fernández García and Mr. Luis Soto Baños. Furthermore, the Tribunal required the Respondent to make the expert Mr. José Ramón Álvarez Arnau available for questioning. 28. In accordance with the Tribunal’s instructions of June 2, 2000, the hearing on the merits of the dispute would be carried out as follows: The Tribunal would deliberate privately on Monday, July 10, 2000. The hearing on the merits of the dispute would begin on Tuesday, July 11, 2000, at 10:00 a.m. First, the Claimant’s representative would make a 30-minute oral presentation, and then the Respondent’s representative would do the same for another 30 minutes. Later, each party would have 15 minutes to submit, in the form of replies and rejoinders, any additional observations that it may have. Second, the Claimant would have a 30-minute opportunity to question each of his witnesses, following which the Respondent’s representative would have 30 minutes to question each of those same witnesses. After this, the Respondent would have a 30-minute opportunity to question each of its witnesses and the expert, following which the Claimant’s representative would have 30 minutes to question each witness. Finally, the Claimant would conclude with a presentation no longer than 30 minutes, followed by a final presentation by the Respondent also of 30 minutes. The Members of the Tribunal would be able to question the witnesses and the expert and request explanations from them at any time during the hearing, but such questions would not count toward the time allotted to each party. 29. In a letter dated July 5, 2000, the Claimant’s representative submitted a written statement from the witness Mr. Silverio Bouzas Piñeiro requested by this party, as well as an additional statement made by Mr. Emilio Agustín Maffezini. 30. The hearing on the merits of the dispute took place as instructed by the Tribunal during the week of July 10, 2000, in London on the premises of the International Dispute Resolution Centre (IDRC). Afterward, Mr. Rafael Andrés León Cavero, Spain’s representative, made a presentation before the Tribunal. 32. Mr. Rodríguez Molnar was the only one of the Claimant’s witnesses required by the Tribunal to make his statement at the hearing. As noted in section 29, Mr. Maffezini and Mr. Bouzas Piñeiro submitted written statements dated July 5, 2000, to the Centre. Of the Respondent’s witnesses, those required by the Tribunal to make their statements at the hearing included Mr. Méndez Rey, Mr. Mucientes Iglesias, Mr. Fernández García and Mr. Soto Baños. Mr. Álvarez Arnau, the Respondent’s expert whose presence was also required by the Tribunal, also made his statement. 33. The hearing was suspended on the afternoon of July 11, 2000, during the Claimant’s questioning of the expert because of a medical emergency suffered by Mr. Wolf. Since it had been agreed during the Tribunal session with the parties on August 21, 1998, that the Tribunal sessions would require only the presence of the majority of its members, the remaining members of the Tribunal, with the agreement of the parties, decided to continue with the hearing. Consequently, the hearing progressed without Mr. Wolf and the Secretary of the Tribunal, who left to assist Mr. Wolf. Even when some of the statements made by the witnesses during the afternoon of July 11, 2000, were not recorded due to a technical malfunction—a fact that was made known to the parties—copies of the audio recordings were later delivered to Mr. Wolf and the other arbitrators so that all Tribunal members had access to the majority of the testimonies given by the witnesses and the expert. At the July 11, 2000, session of the Tribunal, all the witnesses and the expert who attended the hearing were questioned by the party who presented them and were cross-examined by the other party, and answered the Tribunal’s questions. 34. The hearing proceeded on the morning of July 12, 2000. Mr. Wolf could not attend this session because of sickness. During the session both parties’ representatives made their final presentations as planned. The hearing concluded with some final observations made by the President of the Tribunal regarding the efficiency and professionalism of both parties’ representatives in presenting their cases. 35. On November 9, 2000, the members of the Tribunal met for the last time on the ICSID premises in Washington, D.C., for final deliberations. 3. Declaration of Closure of the Proceeding 36. Rule 38(1) of the ICSID Arbitration Rules stipulate that the proceeding should be declared closed when the parties have finished making their presentations. 37. Having reviewed all the parties’ presentations, the Tribunal concluded that there had been no applications by the parties and there was no reason to reopen the proceeding as allowed in virtue of Rule 38(2) of ICSID’s Arbitration Rules. 38. Consequently, in a letter dated November 2, 2000, the Tribunal declared the proceeding closed in accordance with Rule 38(1) of ICSID’s Arbitration Rules. C. Summary of the Facts and Arguments 39. In 1989, Mr. Emilio Agustín Maffezini decided to undertake the production of various chemical products in Galicia, Spain, for which purpose he formed and invested in a company called Emilia A. Maffezini S.A. (EAMSA). EAMSA was formed as a company in accordance with Spanish law on November 15, 1989. Mr. Maffezini subscribed 70% of the capital for an amount of 35 million Spanish pesetas, paying 66.36% of this amount at the time the company was formed; the balance would be paid at a later date. The Sociedad para el Desarrollo Industrial de Galicia S.A. (SODIGA), the Spanish entity whose legal status is examined below, subscribed 30% of the capital, i.e. 15 million Spanish pesetas. A third shareholder was also included to fulfill legal requirements regarding formation of a company, but this shareholding was immediately bought back by Mr. Maffezini. Mr. Maffezini also subscribed a contract for the repurchase of SODIGA’s shares. This contract stipulated a 12% interest rate, which was less than the current market rate of 16.6% and reflected a preferential agreement. Furthermore, SODIGA granted a loan of 40 million Spanish pesetas to the recently formed company at a preferential interest rate, which would be applied at least for the first year. The Spanish Minister of Finance and the Xunta de Galicia [the Galician regional government] received several applications for subsidies, which were approved. 40. Information about potential markets was requested from several Spanish public entities. At the same time, EAMSA proceeded to contract a private consulting firm to find an appropriate site for purchase and to carry out a study of the construction costs and other potential needs of the new company in order to begin production. Land was purchased on the basis of this study and contracts were entered into with several companies and suppliers. SODIGA had also undertaken an economic evaluation of the project so as to decide whether or not it would participate. 41. On June 24, 1991, an environmental impact assessment (AEI) was submitted to the Xunta de Galicia, the regional government of the autonomous community of Galicia. The additional information requested was provided and the AEI was finally approved on January 15, 1992. EAMSA had begun to prepare the land for construction and had started construction work on the plant before obtaining this approval. 42. At the time that the preparations for implementing the project were advancing, EAMSA began to experience financial difficulties. It was agreed that an increase in capital would be implemented. New loans were applied for and applications for additional subsidies were submitted. However, not all these efforts succeeded. The sum of 30 million Spanish pesetas was transferred from the personal account of Mr. Maffezini to EAMSA in circumstances mentioned below. 43. At the beginning of March 1992, Mr. Maffezini gave instructions to halt construction and fire the employees of EAMSA. In June 1994, a lawyer for Mr. Maffezini submitted an offer to SODIGA that proposed that all the outstanding debts of EAMSA and Mr. Maffezini with SODIGA be cancelled in exchange for the assets of EAMSA. SODIGA stated that it would accept the offer provided that Mr. Maffezini were prepared to pay an additional 2 million Spanish pesetas. Mr. Maffezini rejected this proposal. Then Mr. Maffezini requested the Argentine Embassy in Madrid to intervene in the matter. After a further exchange of correspondence, on June 13, 1996, SODIGA indicated that it was prepared to accept the original proposal made by Mr. Maffezini’s lawyer. Mr. Maffezini did not respond to SODIGA’s final proposal and shortly afterward the ICSID arbitration proceeding described above was initiated. 44. On the basis of the stated facts, Mr. Maffezini has submitted four principal claims to this Tribunal. First, that given the legal status of the public entity SODIGA, all its acts and omissions are imputable to Spain. Second, that the project failed because of erroneous advice that SODIGA had given regarding the project costs, which were considerably higher than the initial estimates. Third, that SODIGA was also responsible for the additional costs derived from the AEI, given that EAMSA felt pressured to perform the investment before the environmental impact assessment process had been finished and its implications understood. Fourth, that Mr. Maffezini had not agreed to make a loan of 30 million Spanish pesetas to EAMSA and that the transfer of this sum from his personal account to EAMSA had been improper. 45. Spain has rejected these claims. It considers SODIGA to be a private company whose actions cannot be attributed to the State. In any case, Spain maintains that the one-year statute of limitations established by Spanish law for such claims against public entities makes the current suit inadmissible even if SODIGA should be considered a public entity. Spain also maintains that Mr. Maffezini was responsible for the feasibility study for the project, which included the availability of markets for its products as well as the costs, and that the sole purpose of the studies and estimations carried out by SODIGA was to allow it to decide whether or not it would participate in the company. Spain further alleges that Mr. Maffezini was fully aware of the AEI requirements and that he decided to purchase the land and start construction before receiving AEI approval, contrary to the advice of his own employees and consultants. According to Spain, the transfer of funds to EAMSA was done with Mr. Maffezini’s full authorization and was carried out by a SODIGA official in a personal capacity pursuant to Mr. Maffezini’s instructions. Furthermore, Spain considers, as an issue of law, the settlement proposal Mr. Maffezini made in 1994 to be an offer to enter into a contract. This offer was never withdrawn and, therefore, became a contractual obligation when SODIGA accepted it in 1996. D. Considerations Legal Status of SODIGA in Spain 46. During the stage of this proceeding regarding the issue of jurisdiction, the Tribunal examined SODIGA’s legal status in Spain from two points of view. In the first place, the Tribunal examined whether or not SODIGA was a state entity for the effects of determining the jurisdiction of the Centre and the competence of the Tribunal. On this point, the Tribunal determined that the Claimant had shown prima facie that SODIGA was a state entity that was acting in the name of Spain. In order to arrive at this conclusion it performed a structural assessment and a performance assessment. 47. The Tribunal can confirm this determination prima facie since no convincing evidence to refute it has been submitted. Spain has systematically based its position on the structure of the Spanish public administration in order to maintain that SODIGA does not fall within this category and that it is simply a financial entity formed as a private company. Among other arguments backing its position, Spain invoked Article 2 of Law 30/92 of November 1992, which establishes the framework of Public Administrations and Common Administrative Procedure, to support its position. This provision identifies the General Administration of the State, the Administration of Autonomous Communities, and entities belonging to local administrations as public administrations. It also places entities formed by virtue of the public law and having a legal personality connected with any of said entities in that category. This list is consistent with the structural assessment used by the Spanish administration. 48. However, although the structural assessment may be applied, it is evident that, at the time relevant to the present dispute, financial companies such as SODIGA were unable to exclude themselves fully from the general structure of public administration. In fact, several public entities existed that were governed by private law but which occasionally performed public functions governed by public law. Thus, for example, the National Industrial Institute, formed in 1941, followed in 1992 by the group TENEO S.A., both with close institutional and financial ties to SODIGA as well as to the Sociedad Estatal de Participaciones Industriales, formed in 1995, were classified in this mixed category of public entities with private legal systems. The legal status of these entities always created great confusion. 49. The promulgation of Law 30/92 clarified this situation in part. It should be noted, however, that this law postdates the period concerned, to wit, November 27, 1992. Gradually the distinction was made between public corporate entities that eventually would be able to perform some public functions by virtue of public law even though they are governed by private law, and state-owned commercial companies. Although from an economic point of view these companies are considered public entities, from a legal point of view they are governed by private law and not by administrative law. But some activities of these commercial companies, such as contracting, are governed by administrative law, including those in this case. With the support of Law 6/1997 from April 14, 1997, state-owned commercial companies were prohibited from performing functions involving the exercise of public authority. The regulation was supplemented only recently with the promulgation of Law 1/1999 from January 5, 1999, regulating venture capital firms and their management companies, including “XesGALICIA S.G.E.C.R., S.A.,” the company formed in 1999 that currently controls SODIGA. 50. However, the structural assessment is only one of the elements that should be taken into account. Other aspects that international law considers are, in particular, control of the company by the State or by state-owned entities and the purposes and functions for which the company is formed. As the Tribunal emphasized in its decision on jurisdiction, many of those elements point in this case to the nature of the company as a public entity. 51. The second matter that the Tribunal considered during the stage related to the issue of jurisdiction was whether or not the actions and omissions claimed by the Defendant were imputable to the State. Upon discussing the matter, the Tribunal concluded that the determination of whether or not SODIGA was responsible for the actions, whether those actions caused damage, whether all the actions and omissions were of a governmental nature and not a commercial one, and, therefore, whether or not they could be imputed to the Spanish State were all issues that could only be resolved in the stage of the proceeding concerned with the merits of the dispute. 52. Upon discussing these matters, once again the Tribunal should lean toward a functional approach, i.e. it should establish if the specified actions and omissions are fundamentally commercial and not governmental in nature or, conversely, if they are of an essentially governmental nature and not a commercial one. Commercial actions cannot be attributed to the Spanish State: governmental actions must be attributed to it. 53. SODIGA was formed as a company in 1972 at a time when the Spanish State was pushing a policy of promotion of industrial activity, above all in the most depressed areas of the country. This policy was designed specifically for the public sector so as to stimulate the industrial development of Spain. To achieve this goal no fewer than 22 entities were formed in different regions of the country. Only four of these were related to the private sector. All the rest, including SODIGA, were closely linked to the National Industrial Institute and to the respective Autonomous Communities that, in the case of SODIGA, comprised the Xunta de Galicia. 54. Just as in the case of EAMSA, these entities implemented their policy of promotion by making investments in recently-formed companies through granting loans and entering into contracts for share repurchase, which in a certain sense also represented a deferred loan. The majority of these enterprises were not very successful from a financial point of view, but they did contribute to the development of the industrial and commercial base of their respective regions. Among the important deficiencies of this policy that have been identified are the lack of a specific legal and financial framework, difficulties in returns on investments made, and lack of professional knowledge and preparation. These deficiencies were compounded by political pressures for supporting investments of doubtful viability. 55. Because of the problems involved in the original approach, the entities concerned decided to reorient their functions. At the beginning of the 1980s, they began to adopt a more commercial approach, above all in order to confront growing competition from European financial institutions that arrived in Spain after its admission into the European Economic Community. As a result of this new approach, investments in recently formed companies decreased considerably; later, the number of companies in which investments were made also decreased, and capital was invested in consolidated companies, generally by way of leveraged buy-outs, management buy-outs and management buy-ins. At the same time, small investments declined gradually. These were replaced by larger investments in each operation and company. 56. As a result of this approach, in the 1990s these companies became active participants in a flourishing economic market. Several investment projects were discontinued and a certain recovery of capital occurred, whether directly or through the sale of shares in the stock market. In 1986 the Asociación Española de Capital Inversión, previously known as the Asociación Española de Entidades de Capital Riesgo, was formed. This association and its European counterpart, in which SODIGA also participated, have been very important in this change. During the hearing of this proceeding, the president of SODIGA and current president of “XesGALICIA S.G.E.C.R., S.A.,” Mr. Luis Fernández García, clearly explained some of the changes and the results achieved to the Tribunal. 57. When EAMSA was formed, SODIGA was in the process of changing from a characteristically state entity to one oriented to the market. Although at the start several of the functions of SODIGA were rather of a governmental nature, currently they should be considered as having a commercial nature. However, at the time of the transition, in reality its functions were of both types: some functions considered essentially governmental and others essentially commercial. As mentioned above, this is the dividing line between those actions and omissions that may be imputed to the Spanish State and those that may not. Consequently, the Tribunal should classify the various actions and omissions that have given rise to the current dispute. Responsibility for Erroneous Advice 58. The second principal claim of the Claimant, as observed above, is that the project failed because SODIGA provided erroneous advice regarding the cost of the project, which was far higher than the initial estimates. According to the Claimant, the first preliminary version of the investment project was based on a report from SODIGA from May 1989 that was prepared in order to determine the viability of the project. If this project had been completed, the final cost of the investment would have been three times greater. 59. The Tribunal has already observed that Spain rejects this Claim. It maintains that Mr. Maffezini was responsible for having ordered a feasibility study for the project, and that the sole purpose of the SODIGA estimates was to allow this entity to decide whether or not it would participate in the new company. Spain also states that the investor was an experienced businessman and that he and his team of professionals had prepared the project. The advice of SODIGA was never requested and neither was EAMSA induced to make the investment. Furthermore, the technical study of the costs was prepared by a consulting firm, COTECNO, at the request of EAMSA. Spain additionally stated that the greater cost did not exceed 21% and that this was because of the changes in the specifications ordered by Mr. Maffezini. According to Spain the cost per constructed square meter, less the increase of the costs attributable to the change in the specifications of the initial estimate, does not differ significantly from the estimated figure. 60. According to Spain, the real problem was that the project was badly conceived. Market studies were not performed; Spanish public services provided information free of charge because it was not their responsibility to provide professional advice; the land was not inspected properly and required additional work; and the qualitative and quantitative specifications of the construction that had been considered were modified. Mr. Maffezini was responsible for all the problems and it had been he who finally had decided to stop the work and fire all the EAMSA employees. 61. The Tribunal has carefully examined all these arguments. To do this, it has taken into account the fact that one of the functions of SODIGA and of its affiliated institutions in Spain was to provide information to investors and entrepreneurs in order to promote industrialization in the region in question. In this respect, it is clear that SODIGA did not limit itself to providing information to EAMSA. It also made several other services available. SODIGA provided EAMSA with office space during the initial term as well as accounting services that included assistance with disbursements for the payment of bills and other expenses. As a result, there was a considerable interaction between the SODIGA officials and the EAMSA employees; in the course of this exchange they all studied the project in some detail, as well as its costs and profitability, its viability, and the outlook of the proposed investment. 62. However, it is the opinion of the Tribunal that SODIGA was not fulfilling a public function in providing this information or in helping EAMSA. In general, this kind of activity is limited to the commercial assistance that many financial and commercial entities provide for their potential clients. Nevertheless, some of the other services provided are related to other aspects of the claim. 63. After having heard the testimony of experts and witnesses on these matters, the Tribunal has also formed the opinion that the sole purpose of the feasibility study prepared by SODIGA, deficient or not, was to allow SODIGA to decide about its participation in the capital of EAMSA, and that its purpose was not to replace the study contracted by the investor to COTECNO. Therefore, SODIGA cannot be held responsible for the additional costs, regardless of the actual amount of these costs. Furthermore, the participation of SODIGA on the EAMSA board of directors, a factor that has also been raised by the Claimant to justify the attribution of responsibilities in this regard, is also a part of normal commercial agreements. The subsidies granted by the Spanish government and the Xunta de Galicia were granted at the request of EAMSA, not SODIGA. Therefore SODIGA cannot be linked to these subsidies and held responsible for them either. Even the preferential rates belonging to the loans from SODIGA were paid by the Xunta de Galicia via refunds. 64. In this regard, the Tribunal ought to stress that bilateral agreements on investments are not insurance policies against bad decisions made by businesses. Although it is probably true that the policies and practices of SODIGA and its affiliated entities were deficient in the relevant period in Spain, it cannot be considered that they should lessen the commercial risks inherent to any investment made by the investors. In that regard, Spain certainly cannot be held responsible for the losses that Mr. Maffezini may have suffered, as this could have happened to any private entity in similar circumstances. Responsibility for the Assessment of Environmental Impact 65. The Claimant also claims that SODIGA is responsible for the additional costs derived from the AEI because EAMSA was pressured to begin the investment before the process had been finalized and its implications considered. According to the Claimant, this pressure resulted from the political reasons of the authorities of the Xunta de Galicia and the local governing body. The decision of the Claimant to stop the construction was directly related to the additional increase in the costs of the project. 66. Spain believes that Mr. Maffezini had complete knowledge of the requirements regarding the AEI and decided to purchase the land and proceed with construction before the approval of the evaluation, and that he did so against the advice of his own employees and consultants. The Claimant was specifically informed of the current legal requirements in Spain and in the framework of the European Economic Community, above all because the project was related to the highly toxic chemical industry. The initial AEI study prepared by EAMSA was insufficient and the Xunta de Galicia had to request further information. Once it had been provided with that information, the approval of the AEI was expeditiously granted. The Xunta did not pressure EAMSA and the decision to discontinue the project was unrelated to the AEI. 67. The Tribunal has carefully examined these arguments since the procedure of assessing the environmental impact is crucial to properly protect the environment and apply preventive measures. This is valid not only in the framework of the legislation of both Spain and the EEC but also increasingly in international law. 68. The Tribunal observes that in Spain there is a constitutional mandate regarding protection of the environment set out in Article 45 of the Constitution of 1978. Section 2 of this Article stipulates that “[t]he public authorities shall monitor a rational use of all natural resources with a view to protecting and improving the quality of life and preserving and restoring the environment, by relying on an indispensable collective solidarity.” This mandate applies not only to the General Administration of the State but also to the Autonomous Communities and the Town Halls. In order to fulfill this mandate specific laws have been enacted, among them the Law on dangerous and toxic waste and other instruments. 69. The legislation on the AEI is particularly important. In Directive 85/337 of the EEC dated June 27, 1985, and Royal Legislative Decree No. 1302/1986 of Spain dated June 28, 1986, strict procedures are established in this regard. In both instruments the chemical industries are specifically required to conduct an AEI. Also forming part of this legislation are public information, consultations with the relevant authorities, the procurement of permits and other procedures. In the EEC Directive as well as in the later directive modifying it , it is required “that an AEI be conducted before approving certain public and private projects that are considered to have possible important environmental repercussions.” By virtue of the Spanish legislation, suspension of projects may be ordered, particularly if the work has been started before the approval of the AEI. 70. There can be no doubt that an AEI was required for the EAMSA project and that Mr. Maffezini as well as his employees knew this. The records are extremely clear regarding the exchange of correspondence and other communications on the issue of environmental requirements. Apart from the general principle that ignorance of the law does not constitute a defense, in this case there is evidence that the Claimant was informed of these requirements. He was aware of them when he also requested that COTECNO prepare the initial AEI study as part of its study regarding costs. It would seem that the investor, as is often the case, tried to minimize this requirement in order to avoid additional costs or technical difficulties. Furthermore, the Claimant has not explained, much less proven, the costs or damages imputable to the management of the AEI by the Spanish authorities. 71. In this matter, Spain and SODIGA have merely insisted on strict fulfillment of the EEC Directive and the Spanish laws applicable to the industry concerned. Consequently, Spain cannot be held responsible for the decisions made by the Claimant regarding the AEI. Furthermore, the action of Spain fully accords with the provisions of Article 2(1) of the Argentina-Spain Bilateral Investment Treaty, which mandates the promotion of investments in fulfillment of national law. Consequently, the Tribunal also dismisses this claim by the Claimant. The Transfer of Funds 72. The Claimant also claims that 30 million Spanish pesetas were transferred from his personal account in the form of a loan made to EAMSA despite the fact that he had not consented to this loan. Furthermore, the Claimant claims there were several irregularities attributable to the private banks that were managing his accounts, and he maintains that these actions also render the Spanish central bank, Banco de España, liable. 73. Spain denies these claims, arguing that Mr. Maffezini had consented to the loan, authorized the transfer of funds and given instructions to Mr. Luis Soto Baños, the SODIGA representative to EAMSA, to carry out these operations. Given that Mr. Soto Baños acted as the personal representative of Mr. Maffezini to that end, Spain states that the actions of Mr. Soto Baños cannot be attributed to SODIGA. Furthermore, according to Spain, any irregularities attributed to the private banks are not the responsibility of Banco de España or the Spanish government. Moreover, the Spanish courts are available to decide on any claim that Mr. Maffezini may have against those banks. 74. At the end of 1991, when EAMSA was faced with financial difficulties, discussions were held about how to overcome these problems. In this context, Mr. Maffezini apparently offered to make the sum of 30 million pesetas available. It is a fact that on November 14, 1991, Mr. Maffezini authorized his bank to transfer this sum to the EAMSA account at the time when Mr. Soto Baños requested it. While it is certain that the order was not contingent upon other events, it is clear that at this time neither the conditions of the financial arrangements nor the details regarding the potential loan had been fully negotiated. Nor were the specific cash needs of EAMSA known at that time. 75. Mr. Soto Baños gave the transfer order on February 4, 1992. However, the financial commitment was never formalized in a contract for Mr. Maffezini; neither was the loan approved by the EAMSA board of directors either before or after the funds were transferred. In this regard, the Claimant has convincingly explained the distinction between the authorization to the bank to make the fund transfer, an instruction that was in effect given by him, and the conversion of this transaction into a contract which Mr. Maffezini never signed or authorized. Apparently, the transfer authorization was given in the assumption that it would be preceded by a contract, but ultimately no contract was ever signed. The testimony of Mr. Soto Baños during the hearing confirmed that the loan was never formalized. While this kind of financial arrangement is common in emergency situations, the absence of a prior or subsequent contract, which would formalize the transaction in a concrete legal obligation, leads to the conclusion that this de facto arrangement cannot be enforceable against the Claimant without his consent. 76. The Tribunal also concluded that in this operation Mr. Soto Baños was acting not as the personal representative of Mr. Maffezini but as an official of SODIGA. In the hearing it was confirmed that Mr. Soto Baños discussed the transfer of these funds with the president of SODIGA and that the latter authorized him to proceed as seemed best to him. He did not request a similar authorization from Mr. Maffezini, although there was time to do so. This additional authorization was necessary because, while Mr. Soto Baños was authorized to transfer the funds, no agreement had been reached on the use to which these funds would be put or on the conditions of the loan. The fact that Mr. Soto Baños did not consult Mr. Maffezini but instead requested and obtained authorization to act from the president of SODIGA allows the conclusion that the action of Mr. Soto Baños, whether in the framework of the order or ultra vires, is imputable to SODIGA. 77. It must then be asked, therefore, if this action is of a merely commercial nature or if it was carried out in the performance of the public or governmental functions of SODIGA. In the latter case, it would be imputable to the Spanish government. 78. It is here that the public functions of SODIGA considered above acquire particular importance. Given that SODIGA was an entity tasked with putting government policies regarding industrial promotion into practice, it exercised several functions that ordinary commercial companies do not perform. The management of the EAMSA accounts as an investee company, the handling of its payments and finances, and the general representation of EAMSA in dealings with the Spanish authorities without receiving compensation for these services are elements that spoke to the nature and public responsibilities of SODIGA. Furthermore, the manner in which the private banks acted in this case regarding the loan can be explained to a great extent by the mere fact these banking entities recognized that the orders and instructions of SODIGA had the weight of the public nature of the functions that it was performing in Galicia, which it fulfilled without further safeguards. 79. Furthermore, it should be noted that while the transfer was classified as a loan, in reality it represented an increase in investment. This explains the inquiries made in the Ministry of Economy regarding whether the loan should be recorded as part of the investment. The rejoinder from Spain also describes how the investments made by the Claimant comprised 35 million pesetas corresponding to a subscription of capital and 30 million as a loan to EAMSA, both submitted for registration with the Ministry of Economy. A decision made not by Mr. Maffezini, but by the entity tasked by the state with promoting the industrialization of Galicia to increase the investment, cannot be considered a commercial activity. This decision derived rather from the public functions of SODIGA. 80. While Spain has maintained that the transfer ultimately protected the investment and therefore encouraged Mr. Maffezini to strengthen the financial situation of EAMSA, this is not a convincing argument because he did not consider such methods to be appropriate. Neither the fact that a credit favoring Mr. Maffezini would be posted to the EAMSA accounts, nor the argument that he could have at any time recovered the 30 million pesetas that had been transferred, changes the situation since a large part of the funds had been spent and, consequently, were in reality not available to Mr. Maffezini. 81. Spain has argued convincingly that neither the Spanish government nor Banco de España is responsible regarding the alleged irregularities attributed to the private banks, since the central bank fulfills a supervisory function only for the financial and general monetary aspects of the operations of those banks, but not for their relationships with clients. 82. In accordance with Article 1214 of the Spanish Civil Code, the duty of proving the existence of an obligation lies with the party claiming its fulfillment. In this case, neither written nor any other type of evidence regarding the existence of a loan obligating Mr. Maffezini has been presented. On the contrary, the evidence submitted to the Tribunal indicates that no legal obligation existed regarding such a loan. 83. Given that the activities of SODIGA related to the loan cannot be considered commercial in nature and are related to its public functions, the responsibility for such activities is imputable to Spain. In particular, such activities represent a breach by Spain of its obligations to protect investment, according to the provisions of Article 3(1) of the Argentina-Spain Bilateral Investment Treaty. Furthermore, the lack of transparency with which the loan transaction was made is incompatible with the commitment of Spain to guarantee fair and equitable treatment to the investor according to Article 4(1) of the abovementioned Treaty. Consequently, the Tribunal determines that, in regard to this claim, the Claimant has proven its validity and has the right to compensation in the form described below. Negotiations over Divestiture 84. The Tribunal now should examine the issue of the negotiations over divestiture that took place between 1994 and 1996 and their meaning. The Tribunal is very cognizant that one of the serious problems recorded in the experience of industrial promotion in Spain is related to divestiture and the recovery of capital investments and the loans made by the venture capital firms to new companies. 85. On June 13, 1994, a meeting was held between Mr. Héctor Rodríguez Molnar, lawyer of Mr. Maffezini, and officials from SODIGA. The meeting was specifically requested by the lawyer to discuss a final liquidation of the obligations that both EAMSA and Mr. Maffezini had to SODIGA. As summarized later in a letter from the president of SODIGA dated June 23, 1994, during the meeting Mr. Rodríguez Molnar proposed an arrangement that would have the effect of cancelling all the obligations of both EAMSA and Mr. Maffezini in exchange for the assets of EAMSA, which came to 23,604,168 pesetas. Mr. Rodríguez Molnar confirmed this discussion during the hearing held by this Tribunal when he appeared as a witness for the Claimant. 86. It has also been shown that SODIGA made a counteroffer, requesting an additional 2 million pesetas from Mr. Maffezini. After the first procedures were carried out by the Argentinian Embassy in Madrid, the president of SODIGA wrote to Mr. Maffezini on June 13, 1996, noting that in the spirit of coming to an amiable solution, SODIGA was prepared to accept the arrangement that had been discussed two years earlier with Mr. Rodríguez Molnar, i.e. that SODIGA would waive the payment of the additional 2 million pesetas. But at this time Mr. Maffezini had already begun preparations for submitting the matter to the ICSID, and the negotiations over the arrangement did not continue. 87. Spain has maintained that the proposal made by Mr. Rodríguez Molnar in 1994 constitutes an offer that was never withdrawn and that its acceptance by SODIGA two years later results in a binding contract that the Claimant could not now ignore. In the opinion of Spain, this divestiture arrangement was the only claim that could be submitted to this Tribunal. 88. The Tribunal considers that at the time when these negotiations were taking place, the parties did not intend to enter into a contract. On the contrary, the evidence indicates that the parties assumed that they were carrying out negotiations that could potentially produce an arrangement. Negotiations of this kind are commonly undertaken by banks and financial entities to resolve issues regarding the payment of loans, capital investments and other aspects of a business; in essence, they are negotiations directed at reaching an agreement about the amounts at issue. The president of SODIGA confirmed this understanding in his letter dated June 13, 1996, maintaining that SODIGA was prepared to come to an agreement “under conditions similar to the negotiations held with Mr. Rodríguez Molnar in the past.” There is no reference here either to a contract or to the finalization of one. 89. The Tribunal has also studied this aspect of the dispute from the point of view of Spanish law. Article 1262 of the Spanish Civil Code provides simply that “consent must be manifested through tender of the offer and acceptance of the object and the cause that must constitute the contract.” Article 54 of the Spanish Commercial Code elaborates on this point, providing that “contracts that are entered into through correspondence shall become finalized as of the reply accepting the proposal or the conditions modifying the proposal.” These provisions assume that there was an intent to make an offer with a view to entering into a contract, which was not the case in the negotiations described above. In this case it is not relevant that the initial “offer” had not been withdrawn. 90. Even in cases in which the offer might lead to entering into the contract, its acceptance would have to be unconditional. A conditional acceptance represents a counteroffer that must be accepted by the original offeror. The acceptance by SODIGA was contingent upon the payment of an additional 2 million pesetas and, therefore, was a counteroffer. This was expressly rejected by Mr. Maffezini. From a legal point of view the original offer expired and there was no consent, contract or obligation. Consequently, the letter from the president of SODIGA dated June 13, 1996, cannot be considered an acceptance of the original offer. It discussed a new offer under similar conditions that would require the acceptance of Mr. Maffezini, consent that was not given. It is clearly established in the Spanish Civil Code and in the works of eminent commentators that the courts may determine that an offer has been withdrawn or has expired if it is not accepted in a timely manner, i.e. when acceptance is not given within a reasonable period of time. Therefore, even if it has to be assumed for the sake of argument that there was an offer, its acceptance two years later was not given in a timely manner. 91. From what has been noted it is clear that a contract regarding divestiture was not entered into and that none of the parties made a legally binding commitment in that respect. Statute of Limitations 92. Spain has also maintained that even if it is determined that it has some responsibility in this case, the claim would be inadmissible because of the existence of a one-year statute of limitations that applies to claims against the government for compensation, according to the provisions of Article 142.2 in Law 30/92. 93. While it is certain that this statute of limitations exists, it cannot be applied to claims submitted for resolution in the framework of the ICSID Convention. Compensation and Interest 94. The Tribunal should now decide on compensation regarding the claim that has been accepted. 95. The parties have not disputed the amount that was transferred, to wit, 30 million Spanish pesetas. 96. This sum is subject to the payment of interest. Given that the funds were withdrawn from a term account belonging to Mr. Maffezini, in this case payment of interest should be awarded at a compound rate per annum, compounded beginning on February 4, 1992, until the date of this award. The Tribunal considers it reasonable to fix the interest rate as the corresponding LIBOR rate applicable to the Spanish peseta for each annual period beginning on February 4, 1992, and the corresponding proportional part between February 4, 2000, and the date of this award. The above awards interest of ESP 27,641,265.28 (twenty-seven million, six hundred forty-one thousand, two hundred sixty-five Spanish pesetas and 28 cents). 97. Consequently, the Tribunal determines that the total amount of compensation, including interest, which Spain must pay the Claimant is ESP 57,641,265.28 (fifty-seven million, six hundred forty-one thousand, two hundred sixty-five Spanish pesetas and 28 cents). Spain must make this payment within a period of 60 days beginning from the date of this award. If this payment is not made within this time period, the amount will be subject to the payment of interest at the rate of 6% per annum compounded monthly, beginning from the date of the award until the date of the actual payment. 98. Regarding the expenses incurred in this proceeding, including charges for using the facilities of the Center and the fees and expenses of the Tribunal, it is determined that these institutional expenses must be borne in equal shares by the parties. 99. Regarding the expenses and legal costs of the representatives of the parties, the Tribunal decides that each party must bear all its own expenses and the legal fees of its respective representatives in full in view of the fact that each party has been successful in fundamental aspects of its respective positions. 100. The Tribunal thanks the representatives of both parties, distinguished Argentinian and Spanish lawyers, for the outstanding professionalism and cooperation that they have shown in this case. E. Decisions For the reasons expressed above, the Tribunal has unanimously decided that: (1) Spain must pay the Claimant the sum of ESP 57,641,265.28 (fifty-seven million, six hundred forty-one thousand, two hundred sixty-five Spanish pesetas and 28 cents). (2) Each of the parties must bear all its own expenses and the legal fees of its respective representatives. (3) All the other claims are dismissed. It is so decided.
