According to the Royal Decree n°. M/2 dated 21/1/1398
corresponding to 21/12/1977 governing the relationship
.between foreign contractors and local agents in the
Kingdom of Saudi Arabia, this agreement was made on
'February Z'8, 1984 between TECHNICAL AND CQMMERCIAL
SERVICES AND'CONTRACTING COMPANY LIMITED, a Limited
Liability Company established and operating under the
laws of Saudi Arabia (CIS. N° 21035) whQSe legal address
is P.O. Box 7590, RIYADH 11472, Saudi Arabia, hereinafter
called TASRA (the Agent), and
FORAMER S.A., a private Joint Stock Company, organized and
operating under the laws of France, having its registered
office at 16 bis, rue Grange Dame Rose, P.O. Box lOQ,
78140 VELIZY-VILLACOUBLAY, France, hereinafter called
FORAMER (the Principal}.
'Whereas, FORAMER desires' to undertake various activities
ând needs an agent in Saudi Arabia (heréinafter called
the Territory).
Whereas, TASRA desires to give FORANIER its services as a
Sole Agent in the Territory.
Thereofre it is mutually. agreed as follows
ARTICLE 1 - APPOINTMENT
FORAMER hereby appoints TASRA as its Sole Agent to undertake
and perform business activities stipulated in Article 2 within
the extent of the right granted hereunder on behalf of FOR~~IER
and TASRA accepts such appointment.
ARTICLE 2 - ACTIVITIES
The object of the Agency Agreement is to engage in any or all
of the business activities listed hereunder within the Territory.
1/ All kinds of oil and gas drilling both onshore and offshore.
2/ Work-over and servicing operations.

Attendu que, FORAMER souhaite entreprendre diverses activités et nécessite un agent en Arabie
Saoudite (ci-après dénommée le Territoire).
Attendu que, TASRA souhaite proposer ses services à FORAMER en tant qu’Agent Exclusif sur le
Territoire.
Il est donc mutuellement convenu de ce qui suit :
ARTICLE 1 – DÉSIGNATION
Par le présent acte, FORAMER désigne TASRA comme son Agent Exclusif pour entreprendre et
effectuer les activités économiques stipulées à l’Article 2 dans le respect des droits concédés en
vertu des présentes, pour le compte de FORAMER et TASRA accepte cette désignation.
ARTICLE 2 – ACTIVITÉS
L’Accord d’agence a pour objet d’entreprendre tout ou partie des activités économiques listées ci-
après sur le Territoire.
1/ Toutes sortes d’extractions de pétrole et de gaz sur terre comme en mer.
2/ Opérations de reconditionnement et d’entretien.
3/ Contrats de travail et fourniture d’expertise technique et de personnel.
