INSTALLATION
To install the game you will need administrative privileges, and it is advisable to have
no unnecessary programs running during installation.
Insert the GRID™ disc into your DVD drive. If AutoPlay is enabled, the GRID™ launcher
will appear. If it does not, browse to your DVD drive and run Autorun.exe . Press the
Install button on the launcher to begin installation and then simply follow the on screen
instructions. GRID™ requires the presence of DirectX 9.0c on your system and this will
be automatically installed with the game, if it is not already present.
RUNNING THE GAME
WINDOWS® VISTA:
After installing the game, open the Games Explorer from within the Start menu, and simply
double click the GRID icon to launch the game. Other actions can be carried out by right
clicking this icon.
WINDOWS® XP:
After installing the game, double click the game s icon on the Desktop. Alternatively,

Switch to “ON” to power the controller
Press to start all operational systems, button will light when system is ready for operation.
When using the KRB Shearline Touchscreen Controller, all data entry and navigation through the different modes of operation will be done by touch. When entering or altering any data or values, simply touch the box where the value or data is displayed. For many areas this will display another field which will allow the change or entry of data. In a few cases where there are only 2 choices for entry, when the data box is touched the value will change or toggle to the other available selection. In most cases one of the following will be displayed.
The keypad will be displayed anytime a quantity or length is being selected, key in the value by touching the desired numbers, then touch “ENT” to enter the value. Once “ENT” is touched the keypad will disappear. Each keypad displayed will have a text heading that corresponds to the data box it is linked to.
The scroll box will be displayed anytime the value or data will be selected from a set list. Touch the up or down arrows to scroll through the list, once the desired value or data is displayed, touch “Enter” to input the value or data. Once “Enter” is touched the scroll box will disappear.
Touching will exit from the current screen.
The controller will come with a replaceable protective film over the screen. A dirty screen will affect the sensitivity and responsiveness of the Touchscreen, keeping it clean is important to maintain the sensitivity and responsiveness of the Touchscreen.

-hereinafter referred to more briefly as the "Importer"
WHEREAS
Roeckl, as part of its overall programme, produces and distributes the contract merchandise specified in
detail in this agreement. The Importer, for his part, has well established business relations within the
contract area, defined in detail in this agreement, with retailers who offer and sell the contract
merchandise to consumers within the said contract area.
The Importer shall import the contract merchandise into the contract area and distribute it there as a
wholesaler. The purpose of this agreement is to define in greater detail the rights and obligations arising
from this collaboration.
THEREFORE the parties hereby convene and stipulate the following
Agreement
Article 1 – Object of the agreement
(1) Roeckl hereby assigns the right to distribute the contract merchandise within the contract area within
the limits of the distribution laws and in accordance with Article 5 and the other contents of this
agreement to the Importer with effect for the contract area and for the duration of the present
agreement
(2) The distribution rights assigned by the present agreement shall be exercised in close collaboration
with Roeckl.
Article 2 – Contract merchandise
(1) The contract merchandise shall consist of sports gloves made of leather and/or textiles as well as
sports accessories.
(2) The
right to distribute contract merchandise granted by means of the present agreement shall
however be limited to the following product lines:
a) ..Bicycle Gloves........
(3) Since
Roeckl’s programme also comprises other collections falling within the area of the contract
merchandise that are very similar to the contract merchandise, the parties hereby expressly confirm
that the distribution rights of the Importer are limited solely and exclusively to the product lines named
hereinabove. The above-named product lines shall be defined by Roeckl and their definition shall be
binding upon both parties.
Article 3 – Contract area
(1) The contract area is Poland
(2) The Importer is not entitled to distribute the contract merchandise outside the contract area. Requests
from customers outside the contract area must be passed on to Roeckl directly.

Article 4 – Distribution restrictions / Contract penalty
(1) In connection with Article 3 the Importer is not entitled to resell the merchandise he receives from
Roeckl to enterprises, especially discounters, who sell the merchandise outside the contract area.
(2) Except with the written agreement of Roeckl, the Importer shall likewise not be entitled to sell the
merchandise he receives from Roeckl to other wholesalers who want to distribute said merchandise
within the contract area.
(3) For each violation of the restrictions set out in (1) and (2) the Importer shall become liable to pay
Roeckl a contract penalty of Euro 100,00 (one hundred Euros) per article sold.
Article 5 – Distribution right
(1) The right to distribute contract merchandise assigned to the Importer by the present agreement means
that the Importer will be provided with contract merchandise as a preferred Partner within the contract
area.
(2) Roeckl
will inform the Importer about the creation of other distribution channels. In that case the
Importer will name his existing customers, who shall thereafter be supplied exclusively through the
Importer and shall not be accessible to the above mentioned other distribution channels.
Article 6 – Collaboration in distribution
(1) The Importer buys from Roeckl the contract merchandise for which he has acquired distribution rights
and resells it within the contract area on his own behalf, on his own account and at his own risk. He is
not entitled to act as a legal representative of Roeckl.
(2) The Importer is obliged to use his best efforts to sell the contract merchandise within the contract area.
Roeckl will support the Importer in these efforts by providing samples, printed matters, promotion
material, catalogues, posters, logos and the like. This material shall be invoiced according to Roeckl´s
subsidised list prices. The value of the provided material shall be in due proportion to the purchase
volumes of the Importer. Orientation guide for such an appropriate proportion is 1% (one percent) of
the purchase volume of the Importer.
(3) The Importer is committed to inform Roeckl of the prices at which he sells the contract merchandise to
the re-sellers. Whenever the Importer recommends retail prices, he will likewise communicate these to
Roeckl.
(4) The Importer is obliged to inform Roeckl twice a year about the development of the market of the
contract merchandise within the contract area. Of particular importance are the reasons why
customers are not buying the gloves, the competition situation, and the sales situation in general
within the contract area, concerning the contract merchandise.
(5) Roeckl is obliged to offer each year the most recent and continuously redeveloped models of the
collection of the contract merchandise to the Importer.

(1) The
Importer will inform Roeckl about his marketing activities that have an influence on the
merchandise received from Roeckl.
Article 8 – Competition agreement
(1) Concerning the contract merchandise (i.e. sports gloves), the importer is obliged to carry solely the
collection of the Roeckl brand in his distribution programme. Without the written agreement of Roeckl,
the importer must not carry contract merchandise in his distribution programme which is produced
and/or distributed by competitors of Roeckl. This also applies to the employees, partners, and
salesmen of the importer, as well as salesmen, who work as free-lancers for the importer.
(2) The importer must not acquire customers for contract merchandise outside the contract area. He must
not set up any branches outside the contract area that deal the contract merchandise. He also must
not maintain a warehouse outside the contract area for delivering the contract merchandise.
Article 9 – Prices and other conditions
(1) Roeckl will grant the Importer for the purchased goods a discount of 20% on the valid export list prices
of Roeckl. The current export price lists are appended to this agreement as Annex 1.
(2) In addition to the terms of the present agreement, the general Delivery and Payment Conditions of
Roeckl apply for the delivery and payment of the contract merchandise. The current Delivery and
Payment Conditions of Roeckl are subject to this agreement and appended as Annex 2.
Differing from the General Delivery and Payment Conditions, the Parties agree that:
The invoiced amounts will be paid by the Importer to Roeckl as an advance payment, without any cash
discount deductions.
Freight is to be paid by the Importer.
Roeckl reserves its right to change the conditions of delivery and payment.
(3) It is assumed, that the observance of the delivery dates are subject to trouble-free production and/or
deliveries of the production to Roeckl in time.

Article 11 -Confidentiality
(1) Both parties are obliged to treat all contents of their business relationship as strictly confidential and
not to pass them on to any third parties.
(2) Both
parties of this agreement are required to bind also their respective staff members to this
confidentiality obligation.
Article 12 – Duration of the agreement / Termination
(1) The present agreement starts on 01.10.2012. It is in force for an indefinite time, unless and until either
party gives notice of cancellation.
(2) This agreement can be terminated by either party with a cancellation period of 1 (one) month to the
end of the quarter. The notice of cancellation has to be in written form and sent by registered letter or
by facsimile. The post mark respectively the date of the successful transmission of the facsimile will be
the date of the notice of the cancellation. Proof thereof will be constituted by the date stamp on the
post office receipt or the transmission journal.
(3) The present agreement may be terminated at any time without notice and immediate effect whenever
there is an important reason. In particular, an important reason for a termination with immediate
effects exists if:
a) The Importer sells the contract merchandise outside the contract area or breaks the terms set out
in Article 4 hereinabove;
b) It occurs a substantial change in the ownership or management conditions of the Importer;
d) Bankruptcy and composition proceedings on the assets of the other party are adjudged and/or the
opening of this proceeding is declined because of lack of assets.
e) The turnover of the Importer in the contract area with contract merchandise decreases in one year
more than 30% (thirty percent) in comparison to the previous year; if Roeckl´s other importers of
the contract merchandise have increased, stagnated or reduced their turnover by max. 10% (ten
percent).

Article 13 – Procedure in case of contract termination
(1) The notice of cancellation and termination of this agreement will not affect any of the business already
concluded and confirmed between Roeckl and the Importer. In case of termination by regularly given
notice Roeckl will deliver its merchandise to the Importer in order to enable the Importer to fulfill the
transactions with third parties in the normal course of business operations.
(2) Upon
termination of the contract Roeckl is entitled -but not obliged – to take back any contract
merchandise the Importer may still have in stock at the same price the Importer paid for them less any
import (customs) charges incurred, less customary deductions caused by outdated or slow moving
goods.
(3) Following the termination of the contractual collaboration the Importer is obliged to return all the sales
and marketing material to Roeckl.
(4) The parties
hereby confirm the Importer as an independent and autonomous wholesaler. The law
relating to sales representatives (Handelsvertreter) will not apply to the Importer. Therefore the
Importer does not have any claims for compensation payments, even in the case of a contract
termination.
Article 14 – Court of jurisdiction and applicable law
(1) Court of jurisdiction for any disputes arising from or in connection with the present agreement will be
Country Court Munich I (Landgericht München I), Munich, Federal Republic of Germany, which will
have both geographical and factual competence.
(2) The present agreement is subject to German law and language. However, the regulations regarding
sales representatives (Handelsvertreter) will not be applied, not even analogously.

Article 15 – Miscellaneous other provisions
(1) Amendments of and additions to the present agreement will only be effective if in written form. This
also applies if the parties decide to abandon the requirement of the written form.
(2) Rights, claims and obligations arising from
the present agreement can only be transferred to third
parties with the written consent of the other party of the agreement.
(3) Should single terms and provisions of this agreement be or become invalid, it will not affect the validity
of the remainder of the agreement in any way. Under this circumstance the parties shall supplement
the agreement and replace the invalid term of the agreement in such a manner in order to come as
close as possible to the economic purpose pursued by the invalid provision.
(4) By signing the present agreement the parties confirm having received a duly signed copy thereof.

Preambuła
Do działalności firmy Roeckl należy produkcja i dystrybucja towarów objętych umową, wyszczególnionych w niniejszej umowie. Z kolei Importer nawiązał kontakty handlowe ze sprzedawcami na obszarze obowiązywania umowy, którzy sprzedają towary objęte umową klientom na wyżej wymienionym obszarze obowiązywania umowy, szczegółowo określonym w niniejszej umowie.
Importer będzie importował towary objęte umową do obszaru obowiązywania umowy i prowadził na tym obszarze sprzedaż hurtową tych towarów. Celem niniejszej umowy jest dokładne określenie praw i obowiązków wynikających ze współpracy stron.
W związku z tym, niniejszym strony ustalają, co następuje:
Umowa
Punkt 1 – Cel umowy
(1) Niniejszym Roeckl nadaje Importerowi prawo do dystrybucji towarów objętych umową na obszarze obowiązywania umowy, zgodnie z prawem dystrybucji, postanowieniami zawartymi w punkcie 5 i pozostałymi postanowieniami niniejszej umowy. Prawo będzie obowiązywać na obszarze obowiązywania umowy i przez czas trwania niniejszej umowy.
(2) Nadane niniejszą umową prawo do dystrybucji będzie wykonywane przy bliskiej współpracy z Roeckl.
Punkt 2 – Towary objęte umową
(1) Towary objęte umową stanowią wykonane ze skóry i/lub tkanin rękawiczki sportowe, jak również akcesoria sportowe.
(2) Niemniej jednak nadane niniejszą umową prawo do dystrybucji jest ograniczone do następującej linii produktów:
a) ..rękawiczki rowerowe
(3) Ponieważ działalność Roeckl obejmuje także produkcję innych kolekcji, należących do tej samej kategorii co towary objęte umową, bardzo podobnych do towarów objętych umową, niniejszym strony wyraźnie stwierdzają, że prawo Importera do dystrybucji towarów jest ograniczone tylko i wyłącznie do wyżej wymienionej linii produktów. Wyżej wymieniona linia produktów zostanie określona przez Roeckl, a jej określenie będzie wiążące dla obu stron.
Punkt 3 – Obszar obowiązywania umowy
(1) Obszar obowiązywania umowy stanowi terytorium Polski.
(2) Importer nie ma prawa prowadzić dystrybucji towarów objętych umową poza obszarem obowiązywania umowy i jest zobowiązany przekazywać zamówienia od klientów spoza obszaru obowiązywania umowy bezpośrednio do Roeckl.
Punkt 4 – Ograniczenia dystrybucji / Kara umowna
(1) W związku z punktem 3, Importer nie ma prawa odsprzedawać towarów otrzymanych od Roeckl przedsiębiorstwom prowadzącym handel poza obszarem obowiązywania umowy, w szczególności sklepom wyprzedażowym.
(2) Importer nie ma także prawa do sprzedaży towarów otrzymanych od Roeckl innym przedsiębiorstwom prowadzącym sprzedaż hurtową, które chcą prowadzić dystrybucję wymienionych towarów na obszarze obowiązywania umowy, chyba że Importer zawrze pisemną umowę z Roeckl.
(3) Importer poniesie odpowiedzialność za każde pogwałcenie ograniczeń zawartych w punktach (1) i (2) i będzie musiał zapłacić karę umowną w wysokości 100 euro (stu euro) za każdy sprzedany produkt.
Punkt 5 – Prawo do dystrybucji
(1) Nadane Importerowi poprzez niniejszą umowę prawo do dystrybucji towarów objętych umową oznacza, że Importer zostanie zaopatrzony w towary objęte umową jako preferowany partner na obszarze obowiązywania umowy.
(2) Roeckl poinformuje Importera o utworzeniu innych kanałów dystrybucji, po czym uniemożliwi dostęp do tych kanałów obecnym klientom Importera, po uprzednim przekazaniu Roeckl spisu istniejących klientów Importera, którzy następnie będą zaopatrywani wyłącznie przez Importera.
Punkt 6 – Współpraca przy dystrybucji
(1) Importer nabywa od Roeckl towary objęte umową, na dystrybucję których zdobył prawa, a następnie odsprzedaje je na obszarze obowiązywania umowy we własnym imieniu, na własny rachunek i na własne ryzyko. Importer nie ma prawa występować jako prawny przedstawiciel Roeckl.
(2) Importer jest zobowiązany robić wszystko, co w jego mocy, aby sprzedać towary objęte umową na obszarze obowiązywania umowy, w czym będzie mu pomagał Roeckl, zapewniając próbki, materiały drukowane i promocyjne, katalogi, plakaty, logo itp. po preferencyjnych cenach. Ilość materiałów będzie proporcjonalna do wielkości zamówień Importera i zwykle stanowi 1% (jeden procent) wielkości zamówień importera.
(3) Importer jest zobowiązany przekazywać Roeckl informacje o cenach sprzedaży towarów objętych umową, które proponuje sprzedawcom detalicznym. Jeśli Importer sugeruje ceny detaliczne, ma także przekazać Roeckl informacje o nich.
(4) Importer jest zobowiązany przekazywać Roeckl informacje o rozwoju rynku towarów objętych umową na obszarze obowiązywania umowy. Szczególną wagę mają przyczyny, dla których klienci nie kupują rękawiczek oraz ogólne informacje o sprzedaży i konkurencji dot. towarów objętych umową na obszarze obowiązywania umowy.
(5) Każdego roku Roeckl jest zobowiązany oferować Importerowi najnowsze i ciągle udoskonalane modele kolekcji towarów objętych umową.
Punkt 7 – Działania marketingowe
(1) Importer będzie informował Roeckl o swoich działaniach marketingowych, które mają wpływ na towary otrzymane od Roeckl.
Punkt 8 – Porozumienie o konkurencji
(1) W przypadku towarów objętych umową (tj. rękawiczek sportowych), Importer jest zobowiązany prowadzić dystrybucję tylko i wyłącznie kolekcji marki Roeckl. Importerowi nie wolno prowadzić dystrybucji towarów objętych umową, które są wytwarzane i/lub rozprowadzane przez konkurentów Roeckl, bez pisemnej zgody Roeckl. Zakaz obowiązuje także pracowników, partnerów i sprzedawców Importera, jak również sprzedawców niezależnych, współpracujących z Importerem.
(2) Importerowi nie wolno pozyskiwać klientów na towary objęte umową poza obszarem obowiązywania umowy, jak również nie wolno zakładać filii sprzedających towary objęte umową i utrzymywać magazynów dostarczających te towary poza obszarem obowiązywania umowy.
Punkt 9 – Ceny i inne warunki
(1) Roeckl udzieli Importerowi rabatu na zakup towarów w wysokości 20%, naliczanego od cen na aktualnej liście cen eksportowych Roeckl, która została dołączona do niniejszej umowy i stanowi załącznik nr 1.
(2) Oprócz warunków niniejszej umowy, dostawa towarów objętych umową i zapłata za nie podlega pod ogólne warunki dostawy i płatności Roeckl. Aktualne warunki dostawy i płatności Roeckl są przedmiotem niniejszej umowy i zostały dołączone jako załącznik nr 2.
W odróżnieniu od ogólnych warunków dostawy i płatności, strony postanawiają, co następuje:
Importer zapłaci Roeckl zafakturowane kwoty z wyprzedzeniem, bez jakichkolwiek potrąceń.
Koszty transportu pokryje Importer.
Roeckl zastrzega prawo do zmiany warunków dostawy i płatności.
(3) Zakłada się, że wywiązywanie się z terminów dostaw zależy od bezproblemowej produkcji i/lub terminowych dostaw produkcyjnych do Roeckl.
Punkt 11 – Poufność
(1) Obie strony umowy są zobowiązane traktować wszelkie informacje na temat wzajemnych relacji handlowych jako ściśle tajne i nie wyjawiać ich żadnym osobom trzecim.
(2) Wymaganym jest, aby obie strony umowy zobowiązały swoich pracowników do przestrzegania obowiązku zachowania poufności.
Punkt 12 – Okres umowy / Rozwiązanie umowy
(1) Niniejsza umowa zacznie obowiązywać z dniem 01.10.2012 na czas nieokreślony, dopóki jedna ze stron nie poinformuje drugiej o jej rozwiązaniu.
(2) Obie strony mogą odstąpić od umowy z zachowaniem okresu wypowiedzenia 1 (jednego) miesiąca przed zakończeniem kwartału. Pisemna informacja o odstąpieniu od umowy musi zostać nadana listem poleconym lub faksem. Za datę poinformowania o odstąpieniu od umowy uznaje się datę na stemplu pocztowym lub datę nadania faksu, czego dowód stanowi stempel z datą na potwierdzeniu nadania listu lub w dzienniku faksów.
(3) Jeżeli zaistnieje ważna przyczyna, niniejsza umowa może zostać rozwiązana bez uprzedzenia i ze skutkiem natychmiastowym, w szczególności jeśli:
a) Importer sprzedaje towary objęte umową poza obszarem obowiązywania umowy lub narusza warunki wymienione w punkcie 4 powyżej;
b) Zajdzie istotna zmiana we własności przedsiębiorstwa importującego lub sposobie zarządzania nim;
c)Ogłoszone zostanie bankructwo i wszczęte zostanie postępowanie układowe obejmujące majątek jednej ze stron i/lub takowe postępowanie nie zostanie wszczęte ze względu na brak majątku;
d) Obroty Importera towarami objętymi umową na obszarze obowiązywania umowy spadną o ponad 30% (trzydzieści procent) w ciągu jednego roku, w porównaniu z rokiem poprzednim, przy wzroście, stagnacji lub spadku obrotów towarów objętych umową nie większym niż 10% (dziesięć procent) u innych importerów Roeckl.
Punkt 13 – Postępowanie w wypadku rozwiązania umowy
(1) Powiadomienie o rozwiązaniu umowy w żaden sposób nie wpłynie na uprzednio przeprowadzone i potwierdzone transakcje pomiędzy Roeckl i Importerem. W przypadku powiadomienia o rozwiązaniu umowy w wyznaczonym terminie, Roeckl dostarczy towary Importerowi, aby ten mógł wypełnić swoje zobowiązania względem osób trzecich i doprowadzić do końca transakcje zgodnie ze standardowymi procedurami.
(2) Po rozwiązaniu umowy, Roeckl przysługuje prawo do odkupu wszelkich towarów objętych umową, które Importer wciąż może mieć na stanie, za cenę zapłaconą przez Importera minus wszelkie poniesione opłaty celne i normalne potrącenia spowodowane przestarzałością lub wolnozbywalnością towarów.
(3) Po zaprzestaniu współpracy wynikającej z umowy, obowiązkiem Importera jest zwrot wszelkich materiałów dot. sprzedaży i marketingu do Roeckl.
(4) Niniejszym strony zatwierdzają, że Importer jest niezależnym i autonomicznym przedsiębiorstwem sprzedaży hurtowej i nie podlega pod prawo właściwe dla przedstawicieli handlowych (Handelsvertreter). Z tego powodu Importer nie ma prawa domagać się odszkodowania, nawet w przypadku rozwiązania umowy.
Punkt 14 – Sąd właściwy i prawo właściwe
(1) Sądem właściwym dla jakichkolwiek sporów wynikających z niniejszej umowy lub z nią związanych jest Sąd Krajowy I w Monachium (Landgericht München I), w Republice Federalnej Niemiec, ze względu na położenie geograficzne i odpowiednie kompetencje.
(2) Prawem obowiązującym dla niniejszej umowy jest prawo niemieckie, zaś językiem obowiązującym jest język niemiecki, z wyłączeniem przepisów dotyczących przedstawicieli handlowych (Handelsvertreter), które nawet analogicznie nie znajdą zastosowania.
Punkt 15 – Inne postanowienia
(1) Poprawki i aneksy do niniejszej umowy będą obowiązywać tylko, jeśli zostaną sporządzone na piśmie. Dotyczy to również sytuacji, gdy strony zdecydują się zrezygnować z wymogu sporządzania pisemnych poprawek i aneksów.
(2) Wynikające z niniejszej umowy prawa, roszczenia i zobowiązania mogą zostać przekazane osobie trzeciej jedynie za pisemną zgodą drugiej strony umowy.
(3) Jeżeli pojedyncze warunki lub postanowienia niniejszej umowy staną się nieważne, w żaden sposób nie naruszy to ważności pozostałej części umowy. W takich okolicznościach strony uzupełnią umowę i zastąpią nieważne warunki umowy w taki sposób, aby nowe warunki odniosły jak najbardziej zbliżony skutek gospodarczy do skutku warunków, które utraciły ważność.
(4) Składając podpis, strony potwierdzają otrzymanie prawidłowo podpisanej kopii niniejszej umowy.
