Source text - English The Borrower hereby covenants with the Bank that the Borrower shall insure and keep insured the Property against fire and other customary risks and hazards, for a value as may be required by the Bank, with an insurance company acceptable to the Bank and the Bank shall be made the sole beneficiary under the policy and shall produce evidence thereof to the Bank before the 10th day of January of every year or whenever called up to do so; any omission or delay on the part of the Bank to require for submission of proof of insurance on the Property shall not be construed as waiver of this condition by the Bank. The Borrower agrees that in the event of the Borrower failing to insure the Property to the satisfaction of the Bank, the Bank shall be entitled to cause the Property to be insured with an insurance company for all risks that the Bank may, in its sole discretion, deem fit and to debit the insurance charges to the Loan Account of the Borrower.

Source text - English Net Loss. Net Loss shall be allocated to the Members in proportion to their Membership Interest. Notwithstanding the previous sentence, loss allocations to a Member shall be made only to the extent that such loss allocations will not create a deficit Capital Account balance for that Member in excess of an amount, if any, equal to such Member’s share of Company Minimum Gain that would be realized on a foreclosure of the Company’s property. Any loss not allocated to a Member because of the foregoing provision shall be allocated to the other Members (to the extent the other Members are not limited in respect of the allocation of losses under this Section 5.2A). Any loss reallocated under this Section 5.2A shall be taken into account in computing subsequent allocations of income and losses pursuant to this Article V, so that the net amount of any item so allocated and the income and losses allocated to each Member pursuant to this Article V, to the extent possible, shall be equal to the net amount that would have been allocated to each such Member pursuant to this Article V if no reallocation of losses had occurred under this Section 5.2A.

Translation - English For the purposes of protecting the legitimate rights and interests of the parties hereto, this Intermediary Agreement is made. The Agreement is executed by Party A, Party B, Party C and the mediator. In case of an early termination of this Agreement by any party under Section 10, in addition to the returning of all equipment which is purchased pursuant hereto and service charges to the non-defaulting party, the defaulting party shall pay the mediator the direct expenses arising from the default, which shall include but not repetitively count such fees as the mediator’s compensation, travel expense and commissions etc. This Agreement is made in quadruplicate and on 24 pages. Each party holds one copy and the Agreement shall come into effect upon all parties’ signatures and under their seals. Each copy shall have the same legal effect.

Translation - English The Landlord (hereinafter referred to as “Party A”) and the Tenant (hereinafter referred to as “Party B”) agree that the Premises shall be delivered in such delivery condition as specified in the Schedule 3 by Party A to Party B on January 1, 2012, unless early delivery is agreed through mutual consultation. If the Premises can not be delivered on time because of Party A, a rent-free period equal to the delay shall be offered to Party B by Party A. If the delivery of the Premises is delayed more than 6 months, Party B has the right to waive the renting of such Premises. And Party A shall return the advance payment of RMB1.135 million yuan (in words: One Million One Hundred and Thirty-Five Thousand) without interest to Party B by which the payment is made and pay Party B such reasonable sum as incurred by it as a result of this project, but not exceeding the aggregate of 6 months’ rent.
