The Transferee shall return the Subject Shares to the Transferor upon the occurrence of the following:(1) if the Trust Plan is not formed pursuant to the provisions of the Trust Contract after the ownership of the Subject Shares has been transferred to the Transferee，then the rights and obligations of both parties under this Contract shall immediately cease and the Target Shares shall return to the Transferor；or (2) in the event the Transferee shall, following the termination of the Trust Plan, distribute any remaining trust asset to the Transferor (in the capacity of an ordinary beneficiary) pursuant to the provisions of the Trust Contract, the Subject Shares will be transferred to the Transferor if the remaining trust asset includes the Target Shares. Upon the occurrence of the foregoing, the Transferor shall, at its own expenses, take charge in carrying out the amendment registration and other formalities with respect to the transfer of the Target Shares within 10 Working Days, with respect to which the Transferee shall provide assistance and cooperation.
During the term of the Trust Plan, the Transferee shall have the right to manage, employ and dispose of the Subject Shares in accordance with the Trust Contract.

The Board of Directors of [•] may designate any Restricted Subsidiary to be an Unrestricted Subsidiary if that designation would not cause a Default. If a Restricted Subsidiary is designated as an Unrestricted Subsidiary, the aggregate Fair Market Value of all outstanding Investments owned by [•] and its Restricted Subsidiaries in the Subsidiary designated as Unrestricted will be deemed to be an Investment made as of the time of the designation and will reduce the amount available for Restricted Payments under the relevant covenant or under one or more clauses of the definition of Permitted Investments, as determined by [•]. That designation will only be permitted if the Investment would be permitted at that time and if the Restricted Subsidiary otherwise meets the definition of an Unrestricted Subsidiary. The Board of Directors of [•] may redesignate any Unrestricted Subsidiary to be a Restricted Subsidiary if that redesignation would not cause a Default.
