Monsieur XXX estimait dans ce courrier que son poste de « XXX» avait été « vidé » d’une part importante de sa substance, sans son accord et sans réelle concertation. Monsieur XXX indiquait que la rupture de son contrat de travail prenait effet immédiatement, et demandait à ce que les documents de fin de contrat soient établis dans les meilleurs délais.
La société XXX répondait à Monsieur XXX par un premier courrier en date du XXX novembre XXX, par lequel elle prenait acte de la volonté de Monsieur XXX de mettre fin à son contrat de travail.
La société XXX indiquait qu’elle regrettait cette décision de Monsieur XXX, qui la plaçait dans une situation difficile en raison du rôle majeur que Monsieur XXX devait jouer dans la nouvelle organisation.

4.0 PERFORMANCE OF THE WORK
4.1 SUBCONTRACTOR has been selected for the performance of the WORK on the basis that it is an expert and professional in the type of work involved and with consideration of CONTRACTOR'S obligations under the Head Contract. SUBCONTRACTOR undertakes to perform the WORK in accordance with the requirements, standards and specifications contained in the Head Contract and the full direction of its Affiliate, the CONTRACTOR.
4.2 SUBCONTRACTOR shall provide all management, engineering, design, supervision, PERSONNEL, PLANT, VESSELS, consumables, facilities and all other things, whether of a temporary or permanent nature, necessary for the proper performance of the WORK in accordance with the terms hereof and of the Head Contract unless specifically directed otherwise by the CONTRACTOR.
5.0 REPRESENTATIVES
5.1 The Parties shall appoint REPRESENTATIVES who shall act for and on behalf of the Parties in relation to the SUBCONTRACT.
5.2 The Parties REPRESENTATIVES may delegate any of their duties or functions with reasonable notice.
6.0 VARIATIONS
6.1 SUBCONTRACTOR shall assist CONTRACTOR and COMPANY to identify and value variations in accordance with the Head Contract Clause.
7.0 CONTRACT PAYMENT AND INVOICING
7.1 In consideration of the performance and completion of the WORK and in accordance with the terms of the SUBCONTRACT, CONTRACTOR shall pay or cause to be paid to SUBCONTRACTOR the amounts specified in Section 3 (Contract Payments), as may be amended or supplemented by the terms of the SUBCONTRACT, at the times and in the manner specified therein.
7.2 CONTRACTOR shall submit to COMPANY on a monthly basis, an invoice with supporting documentation as required by CONTRACTOR in order for CONTRACTOR to satisfy COMPANY under the Head Contract of all legitimate and lawful expenditures in the manner prescribed within the Section 4 Administration Procedures.
7.3 In the event that payments to be made under the SUBCONTRACT attract local or national SALES TAX, the proper amount of such tax shall be shown as a separate item on the invoice and shall be added to the SUBCONTRACT prices and rates as appropriate.

O SUBCONTRATANTE compromete-se a executar os trabalhos de acordo com os requisitos, normas e especificações contidas no Contrato-Mãe e com os direcionamentos de sua Afiliada, o CONTRATANTE.
4.2 O SUBCONTRATANTE deverá fornecer toda a gestão, engenharia, design, supervisão, PESSOAL, EQUIPAMENTO, EMBARCAÇÕES, insumos, instalações e todas as outras coisas, seja de natureza temporária ou permanente, necessárias ao bom desempenho dos SERVIÇOS, em conformidade com os termos do presente instrumento e do Contrato-Mãe, a menos que seja especificamente instruída de outra forma pelo CONTRATANTE.
5.0 REPRESENTANTES
5.1 As Partes deverão nomear REPRESENTANTES que deverão agir em nome das partes em relação ao SUBCONTRATO.
5.2 Os REPRESENTANTES das Partes poderão delegar quaisquer dos seus deveres ou funções com uma antecedência razoável.
6.0 VARIAÇÕES
6.1 O SUBCONTRATANTE deverá assistir o CONTRATANTE e a EMPRESA a identificar e avaliar variações, de acordo com a Cláusula do Contrato-Mãe.
7.0 PAGAMENTO E FATURAMENTO CONTRATUAL
7.1 Considerando-se o desempenho e a conclusão dos SERVIÇOS e de acordo com os termos do SUBCONTRATO, o CONTRATANTE deverá pagar ou fazer com que sejam pagas à SUBCONTRATADA as quantias especificadas na Seção 3 (Pagamentos Contratuais), conforme alterada ou complementada pelo termos do SUBCONTRATO, nos prazos e na forma especificados na mesma.
7.2 O CONTRATANTE deverá apresentar mensalmente à EMPRESA, uma fatura com documentação comprobatória, conforme exigido pelo CONTRATANTE, de forma que o CONTRATANTE satisfaça à EMPRESA, nos termos do Contrato-Mãe, relativamente a todas as despesas legítimas e legais, na forma prevista na Seção 4 Procedimentos Administrativos.

7.3 Caso incidam IMPOSTOS locais ou nacionais sobre os pagamentos a serem feitos ao abrigo do SUBCONTRATO, a quantidade adequada de tal imposto deve ser apresentada como um item separado na fatura e deverá ser acrescentada aos preços e taxas do SUBCONTRATO, conforme apropriado.

Im Folgenden wird untersucht, inwiefern IT-Abteilungen durch unternehmerisches Denken und Handeln innovativer und proaktiver werden und damit einen adäquateren Beitrag zum Unternehmenserfolg leisten können. Die Grundlage dafür bildet das Konzept des CE, da IT-Abteilungen in etablierten Unternehmen betrachtet werden. Zunächst werden die für die Implementierung unternehmerischen Denkens und Handelns notwendigen allgemeinen Handlungsfelder identifiziert, um anschliessend auf dieser Basis prüfen zu können, ob es isoliert in einzelnen Abteilungen eingeführt werden kann. Danach wird erörtert, inwiefern CE in IT-Abteilungen grundsätzlich den IT-Wertbeitrag steigern kann. Vorsorgeeinrichtungen können damit älteren Versicherten eine gewisse Flexibilität anbieten. Der Bundesrat hat diese Massnahmen auf den 1. Januar 2011 in Kraft gesetzt.
Die Stiftungsräte der xxx haben die folgende Reglementsänderung per 1. Januar 2011 vorgenommen:
• Versicherte, deren Lohn nach Alter 58 um zwischen 5 und 50% sinkt, können auf Antrag den bisherigen versicherten Lohn weiterführen;
• die reglementarischen Beiträge werden vom Arbeitnehmer und vom Arbeitgeber auf dem bisherigen versicherten Lohn weiterbezahlt.
Der neu eingeführte Absatz 4 zu Ziffer 1.5.6 (VE 1) bzw. Ziffer 1.5.5 (VE 2) des Reglements lautet wie folgt:

3.) Bewertungstägliche Ermittlung und Veröffentlichung des Zwischengewinns zusam¬men mit dem Rücknahmepreis gemäß § 5 Abs. 3 InvStG.
4.) Berechnung eines kontinuierlichen Ertragsausgleichs für alle Ertragskennzahlen (Zwi-schengewinn, ausgeschüttete und ausschüttungsgleiche Erträge), zumindest für steuer-liche Zwecke gemäß BMF-Schreiben vom 09.03.2010 i.V.m. Rz. 197 des BMF-Einführungsschreibens zum Investmentsteuergesetz vom 18.08.2009. Ein rückwirkend nach Ablauf des Geschäftsjahres gerechneter steuerlicher Ertragsausgleich ist gemäß des vorgenannten Verwaltungsschreibens nicht zulässig.
5.) Beachtung des § 5 Abs. 3 Satz 1 InvStG (Jahressteuergesetzes 2010 in der Fassung des Bundesratsbeschlusses (BR) vom 26.11.2010): Bei Veröffentlichung des Zwischengewinns in der Presse oder anderen Medien muss eine Kennzeichnung erfolgen, dass bei der Ermittlung des Zwischengewinns nach den Grundsätzen des Ertragsausgleichs nach § 9 Satz 2 InvStG (JStG 2010 i.d.F. BR-Beschluss vom 26.11.2010) verfahren wor¬den ist.
6.) Zeitnahe Zurverfügungstellung sämtlicher vorgenannten steuerlichen Werte und In-formationen bei WM-Datenservice in Frankfurt am Main.
Ich verstehe, dass dies leider mit viel Aufwand verbunden ist. Insofern birgt der deutsche Markt so seine Tücken. Aber es wäre fahrlässig, ohne eine solche Bestätigung Investments für unsere Kunden eingehen zu wollen.

5) Compliance with §5 para 3 sentence 1 Investment Tax Act (Annual Tax Act 2010 as amended by Federal Council (BR) decision of 26.11.2010): upon publication of interim profits in the press or other media, identification must take place that, in determining interim profit after income adjustment follows the principles of § 9, 2nd sentence Investment Tax Act (2010 Tax Act as amended by BR decision of 26.11.2010).
6) Timely provision of all aforementioned tax values and information for the WM data service in Frankfurt.
I understand that this is unfortunately a lot of work. In this respect, the German markets have their pitfalls. But it would be negligent to want to enter into investments for our customers without such confirmation.
